Expressions of Interest

The Government of the Republic of Sierra Leone has applied for financing from the World Bank toward the cost of the Infrastructure Development Project (IDP), and intends to apply part of the proceeds for consulting services.

An outline Action Plan has been agreed for the conversion of the Sierra Leone Ports Authority (SLPA) to a ‘Landlord’ Port, with the associated concessioning of its operations; for which consulting services are now sought for the designated studies, preparation and technical assistance necessary for further definition and implementation of the Action Plan. In addition, a small number of non-core activities of SLPA are in the process of privatization for which technical assistance is required.

The National Council for Privatization (NCP) has established a Privatization Management Committee (PMC) with members drawn from SLPA, the Ministry of Transport and Communications (MTC), Project Coordination and Monitoring Unit (CMU) of MTC and the NCP. The CMU will be the implementing agency for the consulting services.

Objectives: The overarching objective of the Consultant Services is to support the PMC through the CMU in the further definition, preparation and implementation of the outline Action Plan, which includes but is not limited to: (i) realizing the Government of Sierra Leone's policy for the conversion of the SLPA to a “Landlord” port; (ii) drafting and processing the concessions and or licenses of SLPA’s core activities as defined in the outline Action Plan; (iii) assisting in the privatizing of SLPA’s non-core activities, through the sale of assets or contracting out the management and operation; (iv) identification of detailed SLPA retrenchment entitlements and arrangements, equitable to all parties effected, compatible with World Bank guidelines for possible funding by external donors; (v) recommending new casual labor arrangements for the Landlord port; and (vi) redefinition of the technical and economical regulatory mechanisms of SLPA.

Scope of Services: The Consultant shall conduct all necessary studies, surveys, and analyses; prepare necessary documentation; and provide any other technical assistance, support and recommendations necessary to realize the objectives of these services. In doing so, the Consultant shall carry out not less than the following tasks and subtasks:

I. Tasks related to the concessioning and licensing transactions for the concession of the container terminal and for the issuing of licenses for the service providers (cargo handling companies) for non-container cargo. In turn, these tasks shall include: (i) those directly related to the transactions; and (ii) those essential preparatory actions related to labor arrangements and the legal basis of the transaction. This shall include, but not necessarily be limited to: the development of a casual labor scheme; the development of legislation to empower SLPA to grant concessions/licenses and to enact the new labor scheme; the transaction design for the concessions, and licenses; the establishment of an equipment pool(s); and other technical assistance in reviewing engineering studies and preparation of technical justifications for the extension of container terminal and the installation of a ship to shore gantry crane etc..

II. Tasks related to the restructuring of the SLPA, both to ensure its financial viability through the process of transformation and to equip it for its new role as 'landlord" port. These tasks are of a financial/organizational nature, with emphasis on commercial skills. Significant attention shall be paid to the social and financial treatment of staff to be made redundant by the changed responsibilities of the SLPA. These tasks shall include, but not necessarily be limited to: a legal analysis and recommended changes to the Ports Act; an organizational study of SLPA as "landlord" port; an actuarial study to determine the cost of change and a severance and Social mitigation study and plan; an estate development study/plan to review the use of SLPA assets, including Govt. Wharf; preparation of a financial model of charges and tariffs; and assistance in the agreed program for outsourcing of 2 or 3 non-core activities.

III. Tasks related to the Redefinition of SLPA’s regulatory functions, both economic and technical. Associated with the conversion of SLPA to a Landlord port, the Consultant shall redefine the authorities and powers of SLPA, including those of monitoring the performance of the contracts for the concessions and the service provider licenses, with the provision as required to respond to changing circumstances. In addition, the Consultant shall carry out an environmental audit in accordance with World bank guidelines – and establish environmental parameters for inclusion in the concession and licensing agreements.

Duration: The services shall be completed within 9 months after the commencement of the services.

The CMU now invites eligible consultants to indicate their interest in providing the services. Interested consultants must provide information indicating that they are qualified to perform the services (brochures, description of similar assignments, experience in similar conditions, availability of appropriate skills among staff, etc.). Consultants may associate to enhance their qualifications.

A consultant will be selected in accordance with the Quality and Cost procedures set out in the World Bank’s Guidelines: Selection and Employment of Consultants by World Bank Borrowers (current edition).
