II.2) Quantity or scope of the contract
II.2.1) Total quantity or scope: The Council is seeking Managing Agent
contractor(s) who will manage the portfolio of Council property and
administration of services associated with such a contract. The portfolio
comprises a mixture of properties with retail shops being the most
prominent at 63%, industrial around 22% and office content that is low at
3%.
The remainder is spread between the farms at 8%, residential, leisure,
parking and general miscellaneous at 4%. Nearly two thirds of the rental
income is generated from the retail portfolio, 15% from industrial
properties and 7% from offices. The agricultural portfolio provides about
5%. The contract(s) are for a period of five (5) years with the
possibility of extensions for up to a further period of an additional two
(2) years. Contract to commence 1.4.2005.
Total quantity or scope (including all lots and options, if applicable):
The income from rental/ leases under this contract generates an annual
income of around 6 800 000 GBP from the urban portfolio and 500 000 GBP
from the agricultural portfolio. This relates to a combined contract
value of around 410 000.00 GBP (approximately 375 000 GBP urban and 35
000 GBP agricultural).
II.2.2) Options. Description and time when they may be exercised:
Possible extensions of up to an additional 2 years, subject to
satisfactory performance and mutual agreement. The Council reserves the
right to renew the contract for a further limited period, if so desired.
II.3) Duration of the contract or time limit for completion: 60 months
from the award of the contract.

Lot No: 1) Commercial Portfolio Estates Management Consultancy Contract-
Urban Portfolio.
1) Nomenclature

2) Short description: Urban:
Retail - units from prime shopping pitch through secondary trading
locations to tertiary and neighbourhood parades. Tenants cover a similar
range from national multiples to local traders. (Approximately 150
agreements);
Business Space - Mainly industrial but some offices. In many cases
properties let on long ground leases but there are a number of direct
occupational leases. The contract will include the direct management of
New England House a 1960's flatted factory comprising about 12 000 sq. m
(130 000 Sq. Ft) lettable space accommodating approximately 100 tenants.
(Approximately 200 agreements);
Leisure - Brighton Marina, Leisure facilities i.e. pubs, hotels, clubs
and associated retail units etc (approx 60 agreements);
Miscellaneous - Telecommunication masts, minor properties, garage and
parking spaces, sub stations, kiosks in parks, sports facilities, access
agreements, way leaves etc. (Approx. 850 agreements);
In addition the Council has a part share in the ownership of Shoreham
airport which generates some consultancy work on an hourly basis.

generates an annual income of around 6 800 000 GBP from the Urban
portfolio. This relates to a contract value of approximately 340 000 GBP.

Agricultural Portfolio.

Comprising approximately 10 000 acres with 14 significant farms of
approximately 350 acres each, in addition there are about 40 smaller
lettings including grazing agreements etc. There are a number of
wayleaves and other agreements affecting the farmland portfolio.
3) Scope or quantity: The income from rental/ leases under this contract
generates an annual income of around 500 000 GBP from the agricultural
portfolio. This relates to a contract value of approximately 35 000 GBP.
4) Indication of different starting/delivery date: Starting: 1.4.2005.
SECTION III: LEGAL, ECONOMIC, FINANCIAL AND TECHNICAL INFORMATION
III.1) Conditions relating to the contract
III.1.1) Deposits and guarantees required: A performance bond and/or
parent company guarantee may be required.

relevant provisions: Invoicing to agreed procedure.

III.2.1) Information concerning the personal situation of the
contractor, supplier or service provider and information and formalities
necessary for the evaluation of the minimum economic, financial and
technical capacity required: A pre-qualification questionnaire (PQQ) will
be available from the address in 1.3 below and the Council's website and
must be returned by the deadline stated. The relevant selection criteria
are based on Articles 29 - 34 of Council Directive 92/50.

Incorporation issued by the Register of Companies or a statutory
declaration of registration on a professional or trade register. See PQQ.
III.2.1.2) Economic and financial capacity - means of proof required:
Bankers statements, accounts, recent turnover and evidence of suitable
insurance capacity.
In order to qualify in terms of financial capacity the value of each
Lot(s) will not be permitted to represent more than 25 percent of an
organisation's annual turnover. This means that for each lot the
qualifying turnover will be:
Lot No. 1 - 1 360 000 GBP;
Lot No. 2 - 140 000 GBP.

principal services performed in the past 3 years. Relevant qualifications
and/or certification ie. ISO's, British Standards and/or equivalent
standards etc. It would be advantageous if the applicant were

equivalent standard approved in respect of Health & Safety. Also where
the Transfer of Undertakings (for the Protection of Employment)
(TUPE)/Pensions apply a 'Government Actuary Department' Certificate may
be required.

VI.4) Additional information: The Council is seeking contractors who
will be proactive in their approach to the management of the Council's
property portfolio, in order to ascertain ways of improving performance
and delivering best value and maximising the benefits of asset management
planning.
The Council is seeking to promote a more diverse range of business
operations, particularly from the small to medium enterprises. In respect
of the agricultural portfolio it is keen to encourage sustainable farming
methods and greater diversification.
It is envisaged that the Acquired Rights Directive and/or the Transfer of
Undertakings (Protection of Employment) Regulations 1981 (TUPE) will
apply.
It is anticipated that the contract will commence in April 2005.
Tenders will be accepted for both Lots.
Attention is also drawn to the requirements for the value of company
turnover as outlined in Section III 2.1.2.
The Council is under no obligation to accept the lowest or any tender(s)
or be responsible for any costs associated with this tendering exercise.
