II.1.5) Short description of the contract or purchase(s)
The Forth Replacement Crossing project ("Project") comprises the
construction of a new cable - stayed bridge over the Firth of Forth
together with connections to the existing trunk road network and upgrading
of an existing motorway junction on the M9, together with other associated
works being progressed by or on behalf of Transport Scotland on behalf of
the Scottish Ministers. It also includes the installation of an
Intelligent Transport System (ITS) on the trunk road network covered by
the Project. The Project is being progressed through three separate design
and build contracts: The Principal Contract, M9 Junction 1a and Fife ITS.
Further details of the scope of the Project are contained within the
prequalification Prospectus and prequalification questionnaire
("Prequalification documents").
The purpose of this contract notice is to appoint a panel of insurers to
underwrite the risks of the Project under a Project Insurance Programme
("PIP"). This shall comprise non-life insurance cover relating to
activities, including but not limited to, the development, enabling,
fabrication, construction, erection, installation, testing, commissioning
and defects correction of the Project. The services to be provided by the
successful economic operators shall include the provision of insurance,
loss adjusting and claims handling related services. Further information
will be provided in the Invitation to Negotiate ("ITN") documentation.
The procurement of the PIP is divided into eight lots which are described
in this contract notice. Further information on the scope of the PIP is
included in the prequalification documents, which are available from the
Scottish Ministers.

II.2) QUANTITY OR SCOPE OF THE CONTRACT
II.2.1) Total quantity or scope
A panel of insurers will be selected to underwrite the risks associated
with the Project to cover various project stakeholders, which may include
but are not limited to the Scottish Ministers, the Contractors (currently
being procured to deliver the scheme under bespoke contracts based on the
FIDIC Silver Book as a platform), sub-contractors, advance works
contractors, suppliers and consultants. Scottish Ministers have appointed
Heath Lambert as insurance brokers to provide sole insurance advisory,
broking and management services associated with this proposed PIP.
The following insurance cover shall be required under the project
insurance programme: Lot 1 - Construction/erection works "All Risks"
Insurance; Lot 2 - Contractors pollution liability insurance; Lot 3 -
Third party liability insurance; Lot 4 – Terrorism insurance; Lot 5 -
Existing property insurance; Lot 6 - Land title indemnity insurance; Lot 7
- Owners protective professional indemnity insurance; and Lot 8 - Inherent
defects insurance. Further information about the lots will be communicated
at the ITN stage.
It is intended that the PIP shall be in place to underwrite risks
associated with the Project for the duration of the construction of the
Project and a 5 year defects correction period. It is anticipated that the
policies placed pursuant to this notice may contain a mechanism to amend,
vary or extend the relevant scope of the cover during the insured period,
and/or extend the insured period itself, if required. The PIP shall be in
place, where appropriate, for an agreed period of potential over-run
beyond the anticipated construction and defects correction period.

III.2) CONDITIONS FOR PARTICIPATION
III.2.1) Personal situation of economic operators, including requirements
relating to enrolment on professional or trade registers
Information and formalities necessary for evaluating if requirements are
met: Economic operators will be evaluated in accordance with the Public
Contracts (Scotland) Regulations 2006, as amended, on the basis of
information provided in response to a prequalification questionnaire
("PQQ"), copies of which are available on request from the Scottish
Ministers (see VI.3).
Economic operators must be licensed to write insurance business in the
United Kingdom of the type being procured, or have the ability to write
such insurance business on a freedom of services basis or licenced in
their home state to write insurance or reinsurance business.
III.2.2) Economic and financial capacity
Information and formalities necessary for evaluating if requirements are
met: As III.2.1, Paragraph 1.
Minimum level(s) of standards possibly required Economic operators shall
be required to satisfy minimum standards of economic and financial
standing, which are described in detail in the prequalification documents.
Economic operators must have a minimum security rating of A- Standard &
Poor's (or equivalent independent global index company).
The financial information received as part of each PQQ submission shall be
evaluated and scored out of 40 against four weighted categories: financial
structure, operating performance, investment and financial position. Each
category has a weighting of 10. A PQQ submission shall be marked as FAIL
and shall not be considered further if (a) the total weighted score in
respect of any of the four evaluation criteria categories is less than
fifty per cent of the available weighted score in respect of that category
or (b) the economic operator has a security rating of less than A-.
III.2.3) Technical capacity
Information and formalities necessary for evaluating if requirements are
met:

Minimum level(s) of standards possibly required
Economic operators shall be required to satisfy minimum standards of
technical capacity or professional ability. These are described in detail
in the prequalification documents and can be summarised as:
(a) demonstration of experience of providing insurance on specified types
of projects over a specified value in Section 4.1 of the PQQ; and
(b) in respect of the questions on staff capability and demonstration of
relevant experience and claims handling in Sections 4.2 and 4.3 of the
PQQ, economic operators are required to score 50 per cent or more of the
available maximum weighted evaluation score for each question.

Objective criteria for choosing the limited number of candidates: The
Scottish Ministers do not intend to restrict the number of economic
operators to be invited to tender. However, those economic operators who
have been invited to tender, shall have:
(a) submitted a compliant PQQ Submission; and
(b) gained a PASS in respect of the eligibility and minimum standards of
technical or professional ability evaluation conducted pursuant to the
prequalification prospectus; and
(c) are licensed to underwrite insurance under the terms required in the
prequalification prospectus; and
(d) gained a PASS in respect of the financial evaluation and security
rating conducted pursuant to the prequalification prospectus; and
(e) scored 50 per cent or more of the available maximum weighted
evaluation score for each question in Sections 4.2 and 4.3 of the PQQ.

SECTION VI: COMPLEMENTARY INFORMATION
VI.3) ADDITIONAL INFORMATION
Transport Scotland will conduct the proposed procurement process for the
Project Insurance Programme on behalf of the Scottish Ministers.
Economic operators are invited in this Contract Notice to express an
interest in respect of any lot and/or lots, and/or part and/or parts of a
lot or lots. Variant tenders in respect of each Lot and/or Lots and/or
part and/or parts of a lot or lots will be permitted. Each Lot and/or part
and/or parts of a Lot or Lots shall be awarded by the Scottish Ministers
to the Tenderer(s) which, at the conclusion of the evaluation process,
offers the most economically advantageous tender in respect of that Lot
and/or Lots and/or part and/or parts of a Lot or Lots. The detailed
evaluation criteria and the evaluation process will be included with the
Invitation to Negotiate ("ITN") documentation. Due to the size and
complexity of this project, it is anticipated that several economic
operators may participate on a co-insurance or layered basis on any
particular Lot. However, in such circumstances the liability of the
economic operators will be several and not joint.
At the ITN stage, it is anticipated that the procurement of the PIP will
comprise two stages (in effect, two procurement competitions) which are
interdependent but which will be separately evaluated by the Scottish
Ministers:
a) submission and evaluation of tenders to participate as a ‘lead’
underwriter (the "Lead insurers competition"); and
b) submission and evaluation of tender to participate as a ‘follow’
underwriter (the "Follow insurers competition", which will also include
Excess Layer Liability insurers).
There may be a third stage if lead terms need to be altered by the follow
insurers because they are not prepared to participate on the basis of the
lead terms. In this event, the revised terms will be shown to all
Tenderers involved in the PIP to make them all aware of the final terms.
To receive the prequalification documents expressions of interest require
to be submitted by interested parties to
frc.prequalification@transportscotland.gsi.gov.uk by 12:00hrs BST on
20.9.2010. If an expression of interest is received after 20.9.2010, the
prequalification documents shall not be issued by Transport Scotland.
Prequalification submissions should be delivered to Transport Scotland
(address identified in Annex A.III) by no later than 12:00hrs BST on
27.9.2010. The Scottish Ministers shall not evaluate any pre-qualification
submissions received past the specified deadline, compliance with which is
the sole responsibility of interested parties (including obtaining
evidence of receipt by Transport Scotland on behalf of the Scottish
Ministers), except in exceptional circumstances. This shall be at the
absolute discretion of the Scottish Ministers.
Economic operators which alter their composition after making a
pre-qualification submission will be the subject of re-evaluation. The
Scottish Ministers reserve the right not to award any contract as a result
of the procurement process initiated by this notice and to make whatever
changes the Scottish Ministers deem appropriate to the content, process,
timing and structure of the procurement process.
Transport Scotland and the Scottish Ministers shall have no liability for
any costs howsoever incurred by those participating in the
pre-qualification and negotiated procedures.
Scottish Ministers may elect to discontinue or suspend the procurement of
one or more insurance lots at any time. The Scottish Ministers may do so
without responsibility or liability to any economic operators, the
tenderers and the successful tenderer resulting from such discontinuation
or suspension, including any liability for any costs or expenditure
incurred or inconvenience caused.
Economic operators should be aware that all information submitted to the
Scottish Ministers may need to be disclosed and/or published by the
Scottish Ministers in compliance with the Freedom of Information
(Scotland) Act 2002.
The date and time referred to in paragraphs IV.3.5 of this notice is
provisional.
It is antcipated that each lot shall be of different duration. Approximate
durations shall be stated in the ITN.

VI.4) PROCEDURES FOR APPEAL
VI.4.2) Lodging of appeals
Precise information on deadline(s) for lodging appeals: Subject to
Regulation 32(4) and 32(1) of the Public Contracts (Scotland) Regulations
2006 (as amended by The Public Contracts and Utilities Contracts
(Scotland) Amendment Regulations 2009) (the "Regulations"), the Scottish
Ministers shall by notice in writing, ("Standstill Notice"), as soon as
possible after the decision has been made, inform all tenderers and all
candidates (if any) of the Scottish Ministers decision to award the
contract advertised by this contract notice. Such Standstill Notice will
include all information required by Regulation 32(2) of the Regulations
and it is intended that such Standstill Notice will be issued
electronically to all tenderers and candidates (if any). The Scottish
Ministers will allow a period of at least 10 days to elapse between the
date of despatch of such standstill notice and the date on which the
Scottish Ministers enter into the contract which is the subject of this
contract notice (the "relevant standstill period"). The date on which the
relevant standstill period will end will be stated in the standstill
notice.
A breach of the duty owed by the Scottish Ministers under Regulation 47(1)
or 47(2) of the Regulations is actionable by any economic operator which,
in consequence of the breach, suffers, or risks suffering, loss or damage
and such proceedings may be brought in either the Sheriff Court or the
Court of Session. Such proceedings under Part 9 of the Regulations require
to be brought in accordance with Regulation 47(7) of the Regulations which
states that:
(a) in the case of proceedings seeking an ineffectiveness order (as
defined in Regulation 47B of the Regulations):
(i) where Regulation 47(9) of the Regulations applies, within 30 days from
the relevant date referred to in Regulation 47(9); or
(ii) in any other case, within 6 months from the date of the contract
being entered into; and
(b)in any other case, within 3 months from the date when grounds for the
bringing of the proceedings first arose unless the Court considers that
there is good reason for extending the period within which proceedings may
be brought.
Any proceedings should be notified to the contact stated in Section I.1 of
this contract notice. Economic operators should refer to the Regulations
for further information in relation to the lodging of appeals.
