SECTION II: OBJECT OF THE CONTRACT
II.1) DESCRIPTION
II.1.1) Title attributed to the contract by the contracting entity:
Signalling system for the Fjernbane East and West.

II.1.3) The notice involves: A public contract.
II.1.5) Short description of the contract or purchase(s): In January 2009
the Danish Parliament decided to fund a DKK 18 000 000 000 replacement
programme of renewing all Danish railway signalling before 2021 – both on
the mainlines and regional lines (Fjernbane) and on the Copenhagen S-bane
(S-bane).
This notice regards the two contracts (lots) for the renewal of the
Fjernbane infrastructure signalling system – one for the renewal of the
signalling infrastructure in Eastern Denmark and the other for the renewal
of the signalling infrastructure in Western Denmark. Certain elements of
the two contracts will be similar to framework agreements.
A separate contract (not part of this tender) will be placed for the
delivery of the onboard ERTMS equipment.
It is expected that the tender documents will be issued around June 2010
and that the contracts will be signed in the second half of 2011. The
tender specification base will be functional and performance requirements
supplemented with operational scenario models. During the design phase the
customer will develop complete new operational rules to support the
migration and the realisation of the benefits of the cab-signalled
railway. The new signalling systems shall be in normal operation on both
of the two Fjernbane parts by the end of 2021.
Each of the two contracts will be Design-Build-Maintain contracts and will
in total contain the following overall deliveries:
— Cab-signalled train Control infrastructure – ERTMS level 2 without
lineside signalling. ETCS Specification will be baseline 3 with the
addition of packet switched GSM-R data transmission. Packet switched data
transmission for ETCS is planned through a dual-mode circuit switched
(CSD) and packet switched (PSD) Euroradio protocol, currently being
specified in the frame of the ERTMS Users group with the committed
participation of United Kingdom, Germany and Denmark. The West contract
may include "ERTMS Regional"-similar solutions (i.e. systems with reduced
train detection) for certain regional lines,
— Specific solutions for management of engineering possessions, temporary
speed restriction (TSR)/emergency speed restriction (ESR) and freight
train shunting based on handheld terminals will be required,
— Interlockings for the respective Fjernbane network parts,
— Integrated signalling at protected level crossings for the respective
Fjernbane network parts,
— A Traffic Management System including timetable based train tracking and
automatic route setting, Conflict detection and resolution. Control room
facilities in 1 or a few new Traffic Control Centres (buildings) for each
contract area (The civil works for the Traffic Control Centres is not a
part of the contracts),
— New point machines,
— New Train detection systems (not based on insulated joints),
— Civil works related to the equipment cabins and the like which are
included in the contract,
— Power supply from feeding points, including uninterrupted power supply
(UPS) as needed to provide high reliability of all central equipment,
— Maintenance management system including supervision, logging, fault
identification and early warning of the complete new signalling systems,
with interface to the Banedanmark Asset management system,
— Maintenance (1st, 2nd and 3rd line) for infrastructure equipment (the
duration will be specified in the tender documents but is presupposed to
be for several years). (For the prequalification it is not a requirement
that the applicant has an established maintenance organisation).
The contracts also includes related services such as design, testing,
documentation, training (incl. train the trainer) of operators and
maintainers, authority approval (e.g. safety approvals) for the
infrastructure equipment.

III.1) CONDITIONS RELATING TO THE CONTRACT

III.2) CONDITIONS FOR PARTICIPATION
III.2.1) Personal situation of economic operators, including requirements
relating to enrolment on professional or trade registers: Information and
formalities necessary for evaluating if requirements are met: A. The
applicant shall submit a short description of the firm/company and the
organisation of the applicant (including a description of the ownership
structure).
B. If more than one economic operator submit a request for
prequalification (e.g. a consortium) each participating party of the
consortium must submit a short description of the company and the
organisation of the company (including a description of the ownership
structure).
C. In order to avoid conflicts of interest and to promote competition and
due to the size and complexity of the contracts, an economic operator can
only submit one (1) application to participate in the negotiated procedure
for the east lot and one (1) application to participate in the negotiated
procedure for the west lot. "Economic operator" shall be defined as a
single economic operator or a group of economic operators (a consortium).
Economic operators who form part of the same legal group cannot submit
more than one (1) application to participate in the negotiated procedure
for each lot. "The same legal group" shall be defined as entities covered
by Council Directive 83/349/EEC with amendments (Council Directive on
consolidated accounts) art. 1 (1).
The restriction does not preclude an economic operator from submitting an
application to participate in the negotiated procedure and at the same
time serve as sub-contractor in collaboration with one or more economic
operators for the same lot.
If more than one application for participation in the negotiated procedure
for each lot is submitted by the same economic operator or by economic
operators who form part of the same legal group, all applications
submitted for that lot by those economic operators will be excluded.
III.2.2) Economic and financial capacity: D. A statement of the
applicant's overall turnover for the last 5 financial years available,
depending on the date on which the applicant's undertaking was set up or
the applicant started trading. By "the last 5 financial years" is meant
either calendar years (01.01.-31.12.) or seasons (e.g. 01.07.-30.06.).
E. If more than one economic operator submit an application for
prequalification (e.g. a consortium) all the participating parties of the
consortium must submit their own documentation and information, cf. D.
However, the individual participating party need not each fulfil the
minimum requirement in VI.3), no. 9 (I). The applicant will be evaluated
as a whole regarding the minimum requirement in VI.3), no. 9 (I).
F. If the applicant relies on the economic/financial capacity of other
legal entities (e.g. a partner, a parent company or one or more affiliated
companies), the applicant must in the application prove that the applicant
has at his disposal the resources necessary, for instance by providing
documentation that the applicant can rely on the capacity of the other
legal entities in this respect. If the applicant relies on the
economic/financial capacity of other legal entities (e.g. a partner, a
parent company or one or more affiliated companies), these other legal
entities will be required to undertake joint and several liability
together with the applicant when the contract is signed (but not for the
prequalification).
III.2.3) Technical capacity: Information and formalities necessary for
evaluating if requirements are met: G. The applicant shall document
references within the below listed key areas (G1-G3) within the past 5
years (Note that key area G1 must be fulfilled by one reference). The
specified key areas below have been divided into minimum criteria and
selection criteria, cf. VI.3), no. 9 and 10.
The references shall be of systems that are in commercial operation by the
date of application and shall support the applicant’s experiences and
capability to deliver the Fjernbane signalling Programme in the relevant
contract area (East or West).
Banedanmark reserves the right to verify any information provided and
requires that the applicants consent to the release of any and all
information from any contracting entity identified within its response.
Project Descriptions: For each of the projects used as reference the
applicant is asked to provide:
— Contact person at the contracting entity (including phone number and
email address),
— Contract award date,
— Contract value at the award of the contract and at final completion
(with explanations of differences),
— The applicant’s role in the relevant project (i.e. main supplier or sub
supplier or something else),
— Date of conditional acceptance of the project, both contract schedule at
time of award and actual conditional acceptance date. (with explanations
of differences),
— Date of commercial operation,
— Number, track kilometres signalled/re-signalled,
— Number, train and object capacity of RBCs,
— Number and object capacity of interlockings,
— Traffic mix and density controlled by the ERTMS system,
— Number and complexity of stations fitted with ERTMS,
— The extent to which the signalling system products will form the base
for the proposed system for the fjernbane (not including Traffic
Management System).
G.1 Experience with re-signalling a railway with dense mixed traffic of
freight and passenger trains. (Minimum criterion);
G. 2 Experience with designing signalling layouts based on track topology
from traffic based requirements like headways and line speeds. (Selection
criterion)
G.3 Experience with full safety approval according to the EN 50126-29 of a
system of the complexity of the Fjernbane. (Selection criterion)
H. Capabilities:
The applicant shall provide a brief statement describing the applicant’s
capabilities within the past 5 years in designing, manufacturing,
installing and testing ERTMS level 2 based signalling, cf. H1-H7.
For each capability description regarding H1-H7 the applicant shall
provide:
— An explanation on how the applicant will fulfil the below mentioned
requirements for capability;
— Any supporting information, e.g. project references.
Banedanmark reserves the right to verify any information provided and
requires that the applicant’s consent to the release of any and all
information from any contracting entity identified within its response.
H.1 A ERTMS Level 2 based infrastructure signalling solution suitable for
deployment as a functionally integrated solution to a mixed operation
conventional railway installed and tested no later than by the date of
application and in commercial operation no later than 1 July 2011. The
signalling solution should include: Radio Block Centre integrated with the
interlocking and capable of interfacing to a GSM-R radio network and the
Traffic Management system (Minimum criterion);
H.2 A Traffic Management System in commercial operation (by the date of
application) suitable for application to a mixed operation conventional
railway (Minimum criterion);
H.3 Testing facilities including capabilities to perform off-site testing
of the sub-systems
And complete ERTMS and interlocking systems (Selection criterion);
H.4 The extent to which the products that are likely to be offered have
already achieved CENELEC generic product and/or generic application
approval through projects in other countries (Selection criterion);
H.5 Automated design tools for the ERTMS level 2 based signalling system,
including RBC and Interlocking, to enable a swift and efficient roll out
after achieving generic application approvals (Selection criterion);
H.6 Centralised maintenance management system covering the complete
signalling system with warning, alarm and diagnostics to support a high
performance railway system; (Selection criterion);
H.7 Status of current certification concerning interoperability including
level of verification towards ERTMS standard products (Selection
criterion).

SECTION VI: COMPLEMENTARY INFORMATION
VI.1) THIS IS A RECURRENT PROCUREMENT: No.

VI.3) ADDITIONAL INFORMATION: 1. Banedanmark intends to invite a maximum
of 6 applicants to tender for each lot.
2. An application is asked to be sent in one original document in hard
copy, four hard copies of the original and one electronic copy.
3. The applicant shall indicate which of the lots (east, west or both) the
application is for.
4. All inquiries regarding the tender are to be sent in English by e-mail
to gulo@bane.dk and cc to estm@bane.dk.
5. Regarding sections III.2.2, III.2.3 and IV.3.5: Preprinted material
(e.g. financial accounts) may also be handed in in Danish, German, Swedish
and Norwegian.
6. The duration indicated in II.1.5) and II.3), is the expected time-frame
for the main part of the delivery and does not include the duration of
maintenance or the calling of some of the options. However, the contract
will not have a pre-set date of termination, but the contracting entity
will have a right to terminate the contract by notice.
7. Regarding section II.2.1: The amount stated in section II.2.1 is a
rough estimate which is solely stated with the purpose that interested
parties may get an impression of the scope of the assignment. The amount
does not include the options.
8. Regarding section II.2.2) Option 5: Each lot will contain an option to
complete the other lot in case the original supplier cannot fulfil his
obligations.
9. In order to be taken into consideration during the prequalification the
applicant must meet the following minimum requirements: (I) Re section
III.2.2: The applicant's overall turnover must be at least DKK 2 000 000
000 (calculated as an average of the last 5 financial years available). If
the overall turnover is stated in another currency than DKK, Banedanmark
translates the amount stated to DKK in accordance with the current
quotation on www.nationalbanken.dk at the time-limit for requests for
prequalification. (II) Re section III.2.3: The applicant has references
and capabilities within all key areas marked as “Minimum criteria”, G1 and
H1-H2 (each single reference or capability, however, need not comprise all
key areas).
10. Reduction of the number of applicants who meet the minimum
requirements in no. 9 (if more than 6 applicants meet the minimum
requirements in no. 9 will take place on the basis of (I) the applicants
who have the most relevant references or capabilities as to the assignment
put up for tender (cf. the key areas marked “Minimum criteria” in section
III.2.3); G1 and H1-H2 and (II) the applicants who have the most relevant
additional references or capabilities as to the assignment put up for
tender (cf. the key areas marked “Selection criteria” in section III.2.3);
G2-G3 and H3-H7.
11. Regarding section I.1: Contracting entities/companies besides
Banedanmark: a) A/S Storebælt, b) Nordjyske Jernbaner A/S, c) Midtjyske

Additional contracting entities covered by art. 2 (2) in Directive
2004/17/EC, but not mentioned in the list above, are welcome to contact
Banedanmark (see section I.1) no later than 15.3.2010 in order to be
included in the list. It should be noted that the winning supplier is
obliged to sell to all contracting entities/companies using or wanting to
use the Danish railway, cf. the conditions in the framework contract
included in the tender documents (see also no 16 below).
12. Submittal of the tender material as well as the award of the contract
will be subject to approval by public authorities.
13. Company transfer (virksomhedsoverdragelse) as in accordance with law
no. 710 of 20.8.2002 may be a possibility for the maintenance part of the
contract. This will clarified in the tender documents.
14. Banedanmark points out that the programme language is English and the
contract is written in English, however, some documents prepared by the
Supplier may need to be written in Danish (e.g. to some of the external
stakeholders and authorities). Further the Suppler may receive existing
material/documents as well as future material/documents from Banedanmark
or external parties in Danish.
15. Banedanmark has made reports regarding the Signalling Programme
available on www.bane.dk (press English , choose The Signalling Programme
, choose Tenders regarding signalling system deliveries , choose F-bane).
At the same website it is possible to download a checklist (guideline) to
be used when requesting for prequalification.
16. Regarding section II.1.3: However certain elements of the contract
will be similar to a (parallel) framework contract.
17. The two lots (east and west) cannot be awarded to the same economic
operator, even though the same economic operator has the most economically
advantageous tender on both lots. "Economic operator" shall be defined as
a single economic operator or a group of economic operators (a
consortium).
Economic operators who form part of the same legal group cannot be awarded
both lots, even though the economic operators forming part of the same
legal group has the most economically advantageous tender on both lots.
"The same legal group" shall be defined as entities covered by Council
Directive 83/349/EEC with amendments (Council Directive on consolidated
accounts) art. 1.
18. Banedanmark expects to hold supplier meetings for the potential
suppliers in week 11 of 2010 (15-19 March 2010). The purpose of the
meeting is gathering information to be used for the preparation of tender
documents that are suitable for both Banedanmark and the suppliers.

There is not a closing date for filing in a complaint to Klagenævnet for
Udbud. At the same time as handing in a complaint to Klagenævnet for Udbud
the contracting entity should be informed about the claimed offence from
