II.1) DESCRIPTION

II.1.5) Short description of the contract or purchase(s): The Contracting
Authority wants to consolidate all purchases of advanced instruments and
equipment solutions in a number of framework agreements.
Consolidation of these purchases is expected to generate a quite
significant volume of approx. DKK 10-15m annually. However, the final
volume of purchases depends on a number of aspects, in particular specific
requirements, equipment that needs replacing as well as the grants awarded
during the term of the framework agreement.
The number of framework agreements awarded in respect of each lot will
depend on the tenders received. Thus, the Contracting Authority will award
a number of agreements which will ensure the Contracting Authority's
reliability of supply. The number of framework agreements will not
necessarily be identical for all lots. Provided that a sufficient number
of conforming tenders are received, at least three framework agreements
for each lot will be concluded. In no event will more than ten framework
agreements be concluded for each lot. However on lot 10 up to 15 framework
agreements may be awarded. As there may or may not be overlaps between
winning tenderers the total number of framework agreements may in theory
be anywhere between 3 and 105.

SECTION III: LEGAL, ECONOMIC, FINANCIAL AND TECHNICAL INFORMATION
III.1) CONDITIONS RELATING TO THE CONTRACT

III.2) CONDITIONS FOR PARTICIPATION
III.2.1) Personal situation of economic operators, including requirements
relating to enrolment on professional or trade registers: Information and
formalities necessary for evaluating if requirements are met: Grounds for
exclusion.
Any Candidate will be excluded from participation where that Candidate:
(a) has been subject of a conviction by final judgment in respect of
participation in a criminal organisation, corruption or fraud or money
laundering;
(b) is bankrupt or is being wound up, where the Candidate's affairs are
being administered by the court, where the Candidate has entered into an
arrangement with creditors, where the Candidate has suspended business
activities or is in any analogous situation arising from a similar
procedure under national laws and regulations.
(c) is the subject of proceedings for a declaration of bankruptcy, for an
order for compulsory winding up or administration by the court or an
arrangement with creditors or any other similar proceedings under national
laws and regulations.
(d) has been convicted by a judgment which has the force of res judicata
in accordance with the legal provisions of the country of any offence
concerning the Candidate's professional conduct.
(e) has been guilty of grave professional misconduct proven by any means
which the Contracting Authority can demonstrate.
(f) has not fulfilled obligations relating to the payment of social
security contributions in accordance with the legal provisions of the
country in which the Candidate is established or with those of Denmark.
(g) has not fulfilled obligations relating to the payment of taxes in
accordance with the legal provisions of the country in which the Candidate
is established or with those of Denmark.
(h) is guilty of serious misrepresentation in supplying the information
required under this clause or has not supplied such information.
Documentation.
In order to prove that one or several of the aforesaid grounds for
exclusion do not exist, the Candidate must include the following
documentation in its request to participate:
— The Candidate must obtain a statement from a relevant public authority
(typically the local bankruptcy court) concerning the grounds for
exclusion mentioned in paragraphs (b) and (c) above,
— The Candidate must obtain a criminal record certificate in respect of
the ground for exclusion mentioned in aragraphs (a) and (d) above (Danish
Candidates may submit a written application for such criminal record
certificate to the Danish Criminal Records Office (Kriminalregistret),
P.O. Box 93, Hvidovre, Denmark, stating the entity's CVR no.),
— The Candidate must obtain information from a relevant public authority
stating that none of the grounds for exclusion mentioned in paragraphs (f)
and (g) above exist.
Danish Candidates may instead choose to fulfil paragraphs (a)-(d) and
(f)-(g) above by providing a Declaration of Service (Serviceattest)
obtained from the Danish Commerce and Companies Agency including the
aforesaid paragraphs. The Declaration request form may be obtained
electronically from the website of the Danish Commerce and Companies
Agency: www.eogs.dk. It is stressed that some processing time with the
Danish Commerce and Companies Agency must be expected. The Declaration of
Service may not be forwarded at a later.
Date, but must be available on the last date for submission of the request
to participate.
To the extent possible, foreign Candidates are requested to enclose the
said statements. Where this is not possible in their country of residence,
the Candidates are requested to enclose a sworn statement instead. If
sworn statements are not being used, an affirmation must be made before a
competent administrative authority, a notary public or a competent
professional organisation.
The said certificates, etc., from public authorities, including the
Declaration of Service from the Danish Commerce and Companies Agency, must
be dated 1.8.2009 or later.
Requests to participate must be accompanied by the above documentation.
Candidate's personal affairs.
Consolidated Act no. 336 of 13.5.1997 on the limitation of debtors'
participation in public works contracts, etc., stipulates that, in
connection with the purchase of goods and services, the public contracting
entity may demand that any Candidate make a solemn declaration stating to
which extent the Candidate has unpaid mature debt to any public
authorities in the form of taxes, duties and contributions to social
security schemes under Danish law or the laws of the country in which the
Candidate has its registered office.
The Candidate must make a solemn declaration in the form of Template A
attached to these specifications to candidates to be submitted together
with the request to participate.
Requests to participate must be accompanied by such documentation.
III.2.2) Economic and financial capacity: Information and formalities
necessary for evaluating if requirements are met: The Candidate must
enclose a statement by a bank or respected financial institution showing
the entity's positive solvency ratio in the most recent completed
financial year. This requirement may, however, be excluded, if the
Candidate is a start-up entity not yet.
Having presented its financial statements.
If the Candidate is a consortium, all consortium participants must meet
the requirement of a positive solvency ratio, and a statement by a bank or
respected financial institution must be enclosed for.
Each individual entity having presented financial statements.
The statement may not be filled out by an auditor.
In addition to this, the Candidate must state in Template B that the
Candidate expects its financial statements to show a positive solvency
ratio.
The following formula is applied when calculating the Candidate's solvency
ratio:
(Capital and reserves x 100) / (Total assets).
Minimum level(s) of standards possibly required: The Contracting Authority
will only contract with financially sound entities as it is of material
importance that the Candidate stays in business for the entire contract
period.
Consequently, the Contracting Authority will only enter.
Into agreements with entities having a positive solvency.
Ratio.
III.2.3) Technical capacity: Information and formalities necessary for
evaluating if requirements are met:
It is of decisive importance to the Contracting Authority that the
Candidate has the required technical capacity to complete the works.
The Candidate must document its technical capacity by providing the
following documents and TEMPLATE C in completed form:
a) Information on the lots for which the Candidate is able and intends to
submit a tender.
b) A list of the most important deliveries made during the past three
years, including name and telephone number of the recipient.
c) Information on the involved technicians or technical bodies, and in
particular on those responsible for the quality control, irrespective of
whether they are part of the Candidate's business activities.
d) Description of the technical equipment and the quality measures taken
by the supplier, and the entity's investigation and research facilities.

IV.1) TYPE OF PROCEDURE
IV.1.1) Type of procedure: Restricted.
IV.1.2) Limitations on the number of operators who will be invited to
tender or to participate: Envisaged minimum number: 5. Maximum number: 155
Objective criteria for choosing the limited number of candidates: The
Contracting Authority will prequalify at least five and no more than 15
Candidates for each lot. However, on lot 15 up to 20 Candidates may be
prequalified. As there may or may not be overlaps the total number of
candidates can theoretically be anywhere between 5 and 155. The
Contracting Authority will prequalify companies best suited to perform the
contract on the basis of the information provided by the Candidates as
regards their technical capacity.

IV.2.1) Award criteria: The most economically advantageous tender in
terms of the criteria stated in the specifications, in the invitation to
tender or to negotiate or in the descriptive document.
