The fund management agreements in relation to the specific funds awarded
under the Framework Agreement(s) are anticipated to have a term of up to
31.12.2022. The estimated Lot value ranges relate to this contract period
and not to the length of the framework. NWBF Board may extend the
resulting fund management contracts for up to 2 years.

II.2) QUANTITY OR SCOPE OF THE CONTRACT
II.2.1) Total quantity or scope: The provision of fund and loan
management services for North West Business Finance Ltd. Successful
bidders will be required to deliver venture capital and/or loan funding to
targetted groups as defined in the specified lots. In addition (for lots
1, 2 and 4 only), where applicable, the successful bidder(s) must be able
to secure private sector funding to enhance provision under the framework.

INFORMATION ABOUT LOTS
LOT NO 1
TITLE: UK-warrington: fund management services for the north west business
finance - venture capital and loan fund
1) SHORT DESCRIPTION: Corporate finance and venture capital services.
Growth and expansion capital for economic enterprises to provide flexible
expansion venture capital equity packages to support weaknesses in the
market and support private capital (on a matched basis preferred) in the
North West of England.
2) COMMON PROCUREMENT VOCABULARY (CPV): 66000000, 66122000.
3) QUANTITY OR SCOPE: Growth and expansion captital for economic
enterprises to provide flexible equity, quasi-equity and loan packages to
support weaknesses in the market and support private capital (on a matched
basis preferred) in the North West Market.
Estimated cost excluding VAT:
Range: between 10 000 000 and 15 000 000 GBP.
5) ADDITIONAL INFORMATION ABOUT LOTS: Typical expansion capital
structures providing equity and quasi equity (mezzanine) capital.

TITLE: UK-Warrington: fund management services for the north west business
finance - venture capital and loan fund
1) SHORT DESCRIPTION: Venture Capital Fund.
Corporate Finance and Venture Capital Services.
2) COMMON PROCUREMENT VOCABULARY (CPV): 66000000, 66122000.
3) QUANTITY OR SCOPE: Early stage finance for SME's across the broad
range of new businesses. This covers proof of concept / pre-start /
start-up and follow on, Seed Capital, Gap Venture finance and Venture
Capital Funding to support a range of economic enterprises and includes
focusing on Tecnhology and the regional economic sectors.
Estimated cost excluding VAT:
Range: between 7 500 000 and 10 000 000 GBP.
5) ADDITIONAL INFORMATION ABOUT LOTS: Total eventual Fund allocations to
be in the range of 30 000 000 GBP to 100 000 000 GBP.
LOT NO 3
TITLE: UK-Warrington: fund management services for the north west business
finance - venture capital and loan fund
1) SHORT DESCRIPTION: Loan Fund.
Financial and insurance services;
Banking and investment services.
2) COMMON PROCUREMENT VOCABULARY (CPV): 66000000, 66100000.
3) QUANTITY OR SCOPE: Loans will be available for those businesses with
actual or potential revenue streams but whose investment and funding needs
are not fully met by the banking sector, including Enterprise Finance
Guarantee Scheme. The arrangements may require security.
Estimated cost excluding VAT:
Range: between 7 500 000 and 10 000 000 GBP.
5) ADDITIONAL INFORMATION ABOUT LOTS: Total fund allocation to be in the
region of 35 000 000 GBP to 50 000 000 GBP.
LOT NO 4
TITLE: UK-Warrington: fund management services for the north west business
finance - venture capital and loan fund
1) SHORT DESCRIPTION: Priority Sectors Growth Fund.
Corporate finance and venture capital services;
Financial and insurance services.
2) COMMON PROCUREMENT VOCABULARY (CPV): 66122000, 66000000.
3) QUANTITY OR SCOPE: Sector focused on three sectors in the North West
of England which are digital and creative, bio-medical and energy and
environment (by means of separate funds or any combination of funds).
Estimated cost excluding VAT:
Range: between 10 000 000 and 15 000 000 GBP.
5) ADDITIONAL INFORMATION ABOUT LOTS: Total fund allocation for this Lot
is between 45 000 000 GBP to 125 000 000 GBP.
This lot may be further sub-divided into the priority sectors and so
tenderers may bid for all or part of the lot.
SECTION III: LEGAL, ECONOMIC, FINANCIAL AND TECHNICAL INFORMATION
III.1) CONDITIONS RELATING TO THE CONTRACT

NWBF reserves the right to require groupings of entities to take a
particular form, or to require one party to undertake primary legal
liability or to require that each party undertakes joint and several
liability.

III.2) CONDITIONS FOR PARTICIPATION
III.2.1) Personal situation of economic operators, including requirements
relating to enrolment on professional or trade registers: Information and
formalities necessary for evaluating if requirements are met: (a) is
bankrupt or is being wound up, where his affairs are being administered by
the court, where he has entered into an arrangement with creditors, where
he has suspended business activities or is in any analogous situation
arising from a similar procedure under national laws and regulations;
(b) is the subject of proceedings for a declaration of bankruptcy, for an
order for compulsory winding up or administration by the court or of an
arrangement with creditors or of any other similar proceedings under
national laws and regulations;
(c) has been convicted by a judgment which has the force of res judicata
in accordance with the legal provisions of the country of any offence
concerning his professional conduct;
(d) has been guilty of grave professional misconduct proven by any means
which the contracting authorities can demonstrate;
(e) has not fulfilled obligations relating to the payment of social
security contributions in accordance with the legal provisions of the
country in which he is established or with those of the country of the
contracting authority;
(f) has not fulfilled obligations relating to the payment of taxes in
accordance with the legal provisions of the country in which he is
established or with those of the country of the contracting authority;
(g) is guilty of serious misrepresentation in supplying the information
required under this Section or has not supplied such information;
(h) has been the subject of a conviction for participation in a criminal
organisation, as defined in Article 2(1) of Council Joint Action
98/733/JHA;
(i) has been the subject of a conviction for corruption, as defined in
Article 3 of the Council Act of 26.5.1972 and Article 3(1) of Council
Joint Action 98/742/JHA3 respectively;
(j) has been the subject of a conviction for fraud within the meaning of
Article 1 of the Convention relating to the protection of the financial
interests of the European Communities;
(k) has been the subject of a conviction for money laundering, as defined
in Article 1 of Council Directive 91/308/EEC of 10.6.1991 on prevention of
the use of the financial system for the purpose of money laundering.

SECTION VI: COMPLEMENTARY INFORMATION
VI.1) THIS IS A RECURRENT PROCUREMENT: No.
VI.2) CONTRACT RELATED TO A PROJECT AND/OR PROGRAMME FINANCED BY EU
FUNDS: Yes.
Reference to project(s) and/or programme(s): Northwest Operational
Programme Priority 1 and 2. Jeremie Initiative with funding from ERDF and
EIB and single programme funding from NWDA.
VI.3) ADDITIONAL INFORMATION: The value of the ultimate contracts to be
awarded under the framework will be partly dependent on profit share and
any additional funds awarded. Successful tenderers will be expected to
source private funds for co-investment purposes. The fund management
agreements awarded under the Framework Agreement will include the
realisation or collection of interim funds funded by NWDA.
Additionally there must be subsequent funding available for "follow on"
investments for existing investments, from legacy monies returned to the
NWDA from previous venture capital interventions in the North West. NWBF
will decide how this funding will be allocated at a later date. The
maximum fund sizes detailed in the ITT are designed to cater for this
potential funding.
Bidders can submit tenders for up to a maximum of 2 lots (lot 4 counts as
a single lot for this purpose).
It is envisaged that up to 5 suppliers will be appointed to each of Lots
1, 2 and 3. Lot 4 may be further subdivided into 3 sub lots and up to 3
may be appointed on each part of lot 4 (ie a maximum of 12 in total on lot
4) A total maximum of 27 on the framework.
Variant bids will only be accepted in respect of lot 3 subject to the
details specified in the ITT, with regards to FSA registration.
The NWBF requires all parties to download and complete the ITT documents
which are available at the NWDA's website at www.nwda.co.uk/tenders.
Submissions must be in accordance with these instructions and any further
instructions contained within the ITT documents.
Documents will not be accepted if sent via facsimile or e-mail. Hand
delivery of envelopes will be accepted.
All responses must be in English.
Any information provided on separate pages or on supporting and
supplementary documentation should be presented in the same order as, and
must be cross referenced to the relevant question in the ITT documents.
Any separate sheets must be appended in the ITT response documents.
The provision of false or misrepresented information will result in a
tender being rejected.
NWBF is not liable for any costs incurred by those submitting a tender for
this opportunity. NWBF reserves the right not to award at all or to award
any part of the overall opportunity. A Bidders conference will be held on
at 1pm at Village Hotel, Warrington on 27.1.2010. To register attendance,

VI.4.2) Lodging of appeals: Precise information on deadline(s) for
lodging appeals: If an appeal regarding the award of a contract has not
been successfully resolved the Public Contracts Regulations 2006 (SI 2006
No 5) provide for aggrieved parties who have been harmed or are at risk of
harm by a breach of the rules to take action in the High Court (England,
Wales and Northern Ireland). Any such action must be brought promptly
(generally within 3 months).
