SECTION II: OBJECT OF THE CONTRACT
II.1) DESCRIPTION
II.1.1) Title attributed to the contract by the contracting authority:

II.1.3) The notice involves: A public contract.
II.1.5) Short description of the contract or purchase(s): Essex County
Council (ECC) together with Southend Borough Council (SBC) (hereinafter
referred to as the 'Authorities') are seeking a contractor (or a
consortium of contractors) to enter into a long-term contract for the
provision of a solution for the treatment of residual municipal waste. The
contract is anticipated to have an operational period of 25-30 years,
including possible contract extensions. The exact contract length will be
determined through the competitive dialogue.
The key outcomes of the contract include improving services for the
Authorities' customers in a way which also represents value for money;
reducing the tonnage of Municipal Solid Waste (MSW) going to landfill,
particularly Bio Degradable MSW; recycling more; limiting the impact of
rising waste disposal costs to the taxpayer; and reducing the Authorities'
environmental impacts.
The Authorities currently recycle 43 % of their waste and plan to increase
this to 50 % before 2020, increasing to 60 % over the life of the contract
up to 2037.
The contract may include (but is not limited to) the sustainable design,
build, commissioning, operation and/or financing of a main waste treatment
facility or facilities. However, the Authorities' reserve the right to
adopt a contract structure that best meets their respective needs.
The Authorities wish to explore innovative waste treatment solutions to
assist in diverting Bio Degradable MSW from landfill and to recycle and
recover more value from MSW.
The Authorities will not consider any technology or solution that is
required to comply with the EU Waste Incineration Directive (or that is
incompatible with the Authorities respective Waste Management Strategies).
The technology or solution proposed by a bidder may include the production
of compost like outputs (CLO) and/or the solid recovered fuel (SRF) but
the treatment or use of any CLO and/or SRF shall be outside of the scope
of this procurement and any CLO or SRF shall be transferred to the
Authorities who shall be responsible for the disposal or use of the CLO
and/or SRF. The Authorities reserve the right, however, to include within
the scope of this contract the management of contracts which may be
procured in the future by the Authorities to deal with the treatment of
use of any CLO and/or SRF (including contract administrative services).
The Authorities have identified a site within the leasehold control of ECC
which is considered suitable for the treatment facility and can be
considered by Applicants when putting forward their solution, although
Applicants will be free to put forward other sites for the project. The
site is located at Courtauld Road in Basildon, Essex UK.
The procurement exercise will be conducted using the competitive dialogue
procedure. We will be holding a Bidders Information Day on 1.12.2009.
Bidders wishing to express an interest are stongly encouraged to attend
this event. Further details regarding arrangements are included within the
PQQ and Descriptive Document.
The contract will be awarded on the basis of the most economically
advantageous tender. Full details of the evaluation methodology for each
stage of the procurement are set out in the Descriptive Document which
will be issued at the PQQ stage.
It is anticipated that a Final Business Case for the project will need to
be approved by DEFRA prior to contract award.

II.2) QUANTITY OR SCOPE OF THE CONTRACT
II.2.1) Total quantity or scope: The Authorities are seeking to procure a
solution for the treatment of residual municipal waste.
The solution may require the contractor to design, build, commission,
operate and finance a waste disposal treatment facility or facilities
together with relevant infrastructure. The contract period is expected to
have an operational period of 25-30 years including possible contract
extensions. The exact contract length will be determined through the
competitive dialogue.
Where relevant, and where this offers value for money to the Authorities,
the Authorities may consider purchasing electricity or biofuels from the
contractor or through an off-take associated power company and this notice
includes the contract(s) for the purchase of power or biofuels in such
circumstance. The technology or solution proposed by a bidder may include
the production of compost like outputs (CLO) and/or solid recovered fuel
(SRF) but the treatment or use of any CLO and/or SRF shall be outside of
the scope of this procurement and any CLO or SRF shall be transferred to
the Authorities who shall be responsible for the disposal or use of the
CLO and/or SRF.
The Authorities reserve the right to include within the scope of this
contract the management of contracts which may be procured in the future
by the Authorities to deal with the treatment or use of any CLO and/or SRF
(including contract administrative services).
The expectation is that the financing requirement for the project will
predominantly if not wholly be through private finance, however the
Authorities reserve the right to provide or procure capital contributions
and/or finance to the project for example through the use of prudential
borrowing, other capital contributions and/or loans from HM Treasury's
Infrastructure Finance Unit or otherwise. The amount of such capital
contribution and/or funding will be determined by the Authorities during
the procurement. The Authorities also reserve the right to involve the
European Investment Bank funding in the project.
The total aggregate unitary charge payable during the term of the contract
based on a 25 year operational term is estimated at 1 045 000 000 GBP.
This is provided by way of estimate only and depends upon the solution put
forward.
In so far as the Authorities procure the solution in accordance with the
Private Finance Initiative, the contract will be based on SoPC4 and the
Waste Infrastructure Delivery Programme contract documentation and
guidance as those documents are updated or amended.
The Authorities reserve the right not to award the contract or to cancel
the procurement at any stage.
Estimated value excluding VAT: 1 045 000 000 GBP.

III.1) CONDITIONS RELATING TO THE CONTRACT
III.1.1) Deposits and guarantees required: The Authorities reserve the
right to require guarantees, bonds, collateral warranties and other forms
of security as appropriate.

reference to the relevant provisions regulating them: Details of the
payment arrangements can be found in the Payment Mechanism Principles - a
copy of which will be made available at the Invitation to Submit Outline
Solutions (ISOS) stage.

whom the contract is to be awarded: Where a consortium is tendering, the
Authorities reserve the right to require groupings of contractors to take
a particular legal form or to require that one party has primary liability
or to require each party to be jointly and severally liable. Applicants

Specific conditions relating to the performance of the contract will be
set out in the project documentation to be issued to Applicants at the
ISOS and ISDS stages of the procurement. In particular, these conditions
may relate to social and environmental issues.
III.2) CONDITIONS FOR PARTICIPATION

SECTION IV: PROCEDURE
IV.1) TYPE OF PROCEDURE
IV.1.1) Type of procedure: Competitive dialogue.
IV.1.2) Limitations on the number of operators who will be invited to
tender or to participate: Envisaged minimum number: 3. Maximum number: 8
Objective criteria for choosing the limited number of candidates: The
Authorities intend to select up to eight bidders to participate in the
dialogue process. If more than eight bidders satisfy the minimum standards
required by the Authorities for (a) economic and financial standing or (b)
technical or professional ability, the Authorities will limit the number
of bidders requested to participate in dialogue to a maximum of eight in
accordance with the procedure set out in Regulation 18(12) of the Public
Contracts Regulations 2006. The objective and non-discriminatory criteria
to be applied by the Authorities in order to limit the number of bidders
shall be as detailed in the PQQ Selection Methodology and within the
Descriptive Document available via the Essex Supplier portal, on the
following website: https://essex.bravosolution.co.uk.

timescales, if there are genuine omissions or mistakes. The Authorities
also reserve the right to reduce the number of bidders throughout the
procurement process.

all communications with the Authorities should be via the Essex Supplier

the information as well as a helpdesk to assist bidders.

Applicants are advised that the Authorities are subject to the Freedom of
Information Act 2000 (FOIA) and the Environmental Information Regulations

its commercial sensitivity, confidentiality or otherwise, it must, when
providing this information, clearly identify the specific information it
does not wish to be disclosed and clearly specify the reasons for its
sensitivity. The Authorities shall take such statements into consideration
in the event that it receives a request pursuant to FOIA or EIR which
relates to the information provided by the Applicant. However, if the
information is requested the Authorities may be obliged under FOIA and/or
EIR to disclose such information, irrespective of the Applicant's wishes.

confidentiality encompassing all the information provided in the response.
The Transfer of Undertakings (Protection of Employment) Regulations 2006,
the Acquired Rights Directive, the UK Government's Code of Practice on
