SECTION I: CONTRACTING ENTITY

SECTION II: OBJECT OF THE CONTRACT
II.1) DESCRIPTION
II.1.1) Title attributed to the contract by the contracting entity: Wind
Turbine Generators for Anholt Offshore Wind Farm.

II.1.3) The notice involves: A public contract.
II.1.5) Short description of the contract or purchase(s): Design,
procurement, manufacture, transport to the Danish port Grenå and delivery
on board feeder barge or installation vessel provided by other contractor
employed by the Contracting Authority, installation,
commissioning/completion and initial service of offshore wind turbine
generators and associated control and monitoring systems.

II.2) QUANTITY OR SCOPE OF THE CONTRACT
II.2.1) Total quantity or scope: Design, Procurement, manufacture,
transport to the Danish port Grenå and delivery on board feeder barge or
installation vessel provided by other contractor employed by the
Contracting Authority, installation, commissioning/and associated control
and monitoring systems and initial service of offshore wind turbine
generators with a maximum output of 400 MW measured at the medium voltage
side of the transformer on Energinet.dk´s platform. A capacity of no less
than 390 MW may be installed. A total of 80 to 174 turbines may be erected
as set out in the Anholt tender as published by the Danish Energy Agency.
II.3) DURATION OF THE CONTRACT OR TIME LIMIT FOR COMPLETION: Duration in
months: 104 (from the award of the contract).
SECTION III: LEGAL, ECONOMIC, FINANCIAL AND TECHNICAL INFORMATION
III.1) CONDITIONS RELATING TO THE CONTRACT
III.1.1) Deposits and guarantees required: Conditions relating to the
contract will be stated in the tender documents, however, please note that
the Contracting Authority reserves the right to demand a Performance
Security (for proper performance of all obligations under the contract)
comprising:
(a) An on demand performance guarantee (in the form of a primary
obligation) of up to 25 % of the contract value, and
(b) A performance guarantee (in the form of a secondary obligation) of 100
% of the contract value.
The Performance Security shall be provided by a bank and/or company with a
minimum rating of:
— if a bank: "A-" by S&P or "A3" by Moody's, and if rated by both, the
lower of the two ratings shall apply,
— if a company: "BBB" by S&P or "Baa2" by Moody's, and if rated by both,
the lower of the 2 ratings shall apply. If the company does not hold a
rating at S&P or Moody´s the company shall document a Tangible Net Worth
of at least 900 000 000 EUR.
In case of a provider of Performance Security is downgraded below the
minimum rating or its Tangible Net Worth drops below 900 000 000 EUR, the
Contract Authority reserves the right to have the provider of Performance
Security replaced by a bank and/or company fulfilling the minimum rating
or Tangible Net Worth. The Contractor and the Performance Security
provider will be requested to deliver updated accounts during completion
of the works.
Definition of Tangible Net Worth:
"means the sum of all paid up shareholder cash contributions to the share
capital account or any other capital account of the Relevant Entity
ascribed for such purposes of the Relevant Entity and any accumulated
retained earnings less any accumulated retained losses and intangible
assets including, but not limited to, goodwill.".
III.1.2) Main financing conditions and payment arrangements and/or
reference to the relevant provisions regulating them: Will be stated in
the tender documents.
III.1.3) Legal form to be taken by the grouping of economic operators to
whom the contract is to be awarded: Will be stated in the tender
documents.
III.1.4) Other particular conditions to which the performance of the
contract is subject: Yes.
Will be stated in the tender documents, however, please note that the wind
turbine generators intended for the delivery must comply with the
following minimum requirement: The wind turbine generators shall be
certified according to the Danish Statutory Order 651 of 26.6.2008.
The Tenderes are advised that the design maturity and track record of the
tendered WTG technology will be of high importance to the Employer and
will form part of the award criteria. Further details will be stated in
the Invitation to Tender.
III.2) CONDITIONS FOR PARTICIPATION
III.2.1) Personal situation of economic operators, including requirements
relating to enrolment on professional or trade registers: Information and
formalities necessary for evaluating if requirements are met: Pursuant to
article 45 (subsection 1-2) of Directive 2004/18 EC, the tenderer must
provide a Solemn declaration that the tenderer is not in any of the
situations referred to. If a consortium submits a request for tendering a
Solemn declaration must be given for each member of the consortium.
If the tenderer relies on the capacity of other entities, the tenderer
shall prove that the necessary resources will be available to it by the
way of an undertaking from these entities.
III.2.2) Economic and financial capacity: A1. Ownership and corporate
form. If the tenderer is a subsidiary, the name and address of the parent
company must be stated as well as the name and address of a Danish
representative if any.
A2. Annual accounts (incl. the accountants opinion) for the previous 3
years and the quarterly reports/interim accounts for the current financial
year.
(if applicable). If 50 % or more of the company is owned by another
company, the same information is desired concerning the parent company.
A3. Letter of Intent from a bank and/or a company (either or both entities
complying with the requirements stated in III.1.1) that they can provide
the Performance Security described in III.1.1.
If the tenderer relies on the capacity of other entities, the tenderer
shall prove that the necessary resources will be available to it by way of
an undertaking from these entities.
III.2.3) Technical capacity: Information and formalities necessary for
evaluating if requirements are met: B1. Statement of the tenderer's
ability to plan and manage the works and if applicable for design and
detailed engineering.
B2. A statement of the tools, plant or technical equipment available to
the tenderer for carrying out the contract.
B3. References of similar works which the tenderer has on order or has
completed within the last 5 years. The list shall include dates,
recipients, scope of works and records of incidents/accidents (including
Lost Time Incident, Lost Time Incident Frequency, near miss incidents and
observations).
B4. Statement of the tenderer's health and safety management system and
organisation including principles for implementation of health and safety
management. Further, the tenderer shall state its records of
incidents/accidents (including Lost Time Incident, Lost Time Incident
Frequency) for the company as a whole within the last 3 years.
B5. Statement of the tenderer's environmental management system and
organisation including principles for implementation of environmental
management. Further, the tenderer shall state its records on environmental
incidents/accidents within the last 3 years.
As a minimum the tenderer shall comply with the following:
1) The tenderer must have proven experience in delivery and completion of
wind turbine generators for several (minimum 2) large scale (minimum 60
MW) offshore wind farms.
2) The tenderer must have experience in or proven capability to produce
the wind turbine generators intended for the offshore delivery in a scale
corresponding to the tendered amount of wind turbine generators.
3) The tenderer must have a quality management system according to ISO
9001 or similar.
If the tenderer relies on the capacity of other entities, the tenderer
shall prove that the necessary resources will be available to it by way of
an undertaking from these entities.
If a consortium submits a request for tendering, the above documentation
must be provided for each member of the consortium.

SECTION VI: COMPLEMENTARY INFORMATION
VI.1) THIS IS A RECURRENT PROCUREMENT: No.
VI.2) CONTRACT(S) RELATED TO A PROJECT AND/OR PROGRAMME FINANCED BY
COMMUNITY FUNDS: No.
VI.3) ADDITIONAL INFORMATION: A maximum number of 5 tenderers will be
invited to participate in the tender.
This invitation to participate in the pre-qualification for design,
Procurement, manufacture, transport to the Danish port Grenå and delivery
on board feeder barge or installation vessel provided by other contractor
employed by the Contracting Authority, installation,
commissioning/completion and initial service of offshore wind turbine
generators and associated control and monitoring systems for Anholt
Offshore Wind Farm, the subsequent invitation to tender and
award/execution of contract in relation to this, will be conditioned upon
completion of the tender process for Anholt Offshore Wind Farm by the
Danish Energy Agency (including approval of environmental impact
assessment report, award of concession and passing of consequential
legislation in Folketinget) and will be conditioned upon DONG Energy -
Anholt Offshore A/S being awarded the concession by the Danish Energy
Agency. Furthermore the Contracting Authority reserves the right to cancel
the Tender (or award of contract if applicable) if a positive final
investment decision from the Board of DONG Energy is not obtained or if
there are other objective reasons for so doing.

breach and that the tenderer has lodged an appeal to Klagenævnet for
Udbud.
