SECTION II: OBJECT OF THE CONTRACT
II.1) DESCRIPTION
II.1.1) Title attributed to the contract by the contracting authority:
Bournemouth Town Centre Master Vision LABV.

II.1.5) Short description of the contract or purchase(s): Bournemouth
Borough Council (the "Council") is seeking a private sector partner
("PSP") with which to help deliver its Town Centre Master Vision, a major
regeneration project to bring new homes, offices, retail opportunities,
tourism attractions, business development and improvements to
infrastructure and the street scene.
In order to deliver certain aspects of the Town Centre Master Vision a
corporate joint venture (a Local Asset Backed Vehicle) will be established
for a term of approximately 20 years. The Council and the successful
private sector partner will each invest in and hold a 50 % interest in the
delivery vehicle.
The role of the vehicle will be to enable the development of sites that
will help deliver the Town Centre Master Vision. The chosen private sector
partner will share in the Council’s vision and ambitions and demonstrate
its long term commitment to the sustainable physical and economic
development of Bournemouth Town Centre.

II.2.1) Total quantity or scope: The Scope of the contract is set out in

SECTION III: LEGAL, ECONOMIC, FINANCIAL AND TECHNICAL INFORMATION
III.1) CONDITIONS RELATING TO THE CONTRACT
III.1.1) Deposits and guarantees required: As set out in the Invitation
to Submit Outline Proposals documentation. The Council reserves the right
to require deposits, guarantees and other forms of security.
III.1.2) Main financing conditions and payment arrangements and/or
reference to the relevant provisions regulating them: Details will be set
out in the Invitation to Submit Outline Proposals and/or the contractual
documentation and will be developed throughout the competitive dialogue
procedure.
III.1.3) Legal form to be taken by the group of economic operators to
whom the contract is to be awarded: Expressions of interest in response to
this contract notice may be submitted by a single Bidder or a consortium.
However where the Bidder is a consortium, each member of the consortium
may be required to contract on the basis of joint and several liability if
the consortium is successful.
The Council reserves the right to require the private sector partner (PSP)
(whether this is a single party or a consortium) to have a particular
legal form or structure and/or to require the private sector partner or
any one or more of the consortium members in the consortium to adopt
primary liability on the scheme.
III.1.4) Other particular conditions to which the performance of the
contract is subject: Yes.
Conditions for the performance of the contract will be set out in the
Invitation to Submit Outline Proposals. The Council requires the private
sector partner to actively progress towards the achievement of the
objectives of the Council that may include, but not be limited to, social
and environmental objectives. The objectives of the Council shall be
incorporated into the contractual arrangements with the private sector
partner.
III.2) CONDITIONS FOR PARTICIPATION
III.2.1) Personal situation of economic operators, including requirements
relating to enrolment on professional or trade registers: Information and
formalities necessary for evaluating if requirements are met: In
accordance with Articles 45 to 50 of Directive 2004/18/EC and Regulations
23 to 25 of the Public Contracts Regulations 2006 and as set out in the
Pre-Qualification Questionnaire which will be available from the contact
point at section I.1.

necessary for evaluating if requirements are met: In accordance with
Article 47 of the Directive 2004/18/EC and Regulation 24 of the Public

Objective criteria for choosing the limited number of candidates: As set
out in Pre-Qualification Questionnaire which will be available from the
contact at section I.1 above. In outline they are based on bidders'
capacity to provide, experience and approach to exemplar regeration
schemes, working in partnership with the public sector and access to
funding.
IV.1.3) Reduction of the number of operators during the negotiation or
dialogue: Recourse to staged procedure to gradually reduce the number of
solutions to be discussed or tenders to be negotiated yes.

SECTION VI: COMPLEMENTARY INFORMATION
VI.1) THIS IS A RECURRENT PROCUREMENT: No.
VI.2) CONTRACT RELATED TO A PROJECT AND/OR PROGRAMME FINANCED BY EU
FUNDS: No.
VI.3) ADDITIONAL INFORMATION: Section II.1.9 – Variant proposals will be
accepted in addition to a compliant bid (as set out in the procurement
documents issued by or on behalf of the Council as part of this
procurement (the "Procurement Documents")) provided that the Council's key
requirements (as set out in the Procurement Documents) are met. However,
the Council requires the private sector partner to facilitate delivery of
the entire scheme (as set out in the Procurement Documents) and bids or
proposals relating to individual elements or lots will not be considered.
Section II.3 – the life of the joint venture between the Council and
private sector partner will be a period of approximately 20 years and is
intended to be a long term arrangement.
Sections IV.3.3 – the Pre-Qualification Questionnaire and Memorandum of
Information will be available from the contact point at section I.1 from
14.9.2009 on the receipt by the Council of an expression of interest.
Expressions of interest must be received by the Council from "Bidders" by
12:00 noon on 30.10.2009.
Section IV.3.4 - completed Pre-Qualification Questionnaires must be
received by the Council by 12:00 noon on 30.10.2009 and must be completed
in accordance with the instructions set out in the Pre-Qualification
Questionnaire. A Bidders' day will be held on 16.10.2009.
If considered applicable at any time the Council reserves the right to
include obligations within any specification, contract
conditions/arrangements with the private sector partner and/or the joint
venture in relation to workforce issues (including issues contained in the
Code of Practice – Workforce Matters in Local Authority Service Contracts
(2003)).
Bidders are advised that the Council is subject to the Freedom of
Information Act 2000 (the "Act") and the Environmental Information
Regulations 2004 (the "Regulations"). If a Bidder considers that any of
the information supplied as part of this procurement procedure should not
be disclosed because of its commercial sensitivity, confidentiality or
otherwise, they must, when providing this information, clearly identify
the specific information they do not wish to be disclosed and clearly
specify the reasons for its sensitivity. The Council shall take such
statements into consideration in the event that it receives a request for
information pursuant to the Act or the Regulations which relates to the
information provided by the relevant Bidder. However, the Council reserves
the right (acting in its sole discretion) to disclose any such requested
information with or without consulting the relevant Bidder. Please note,
it is not sufficient to include a statement of confidentiality
encompassing all the information provided in the response to the Council.
The Council shall not be responsible for any costs, charges or expenses
incurred by Bidders and accepts no liability for any costs, charges or
expenses, irrespective of the outcome of the procurement, or if the
competition is cancelled or postponed. The Council reserves the right to
not award any or part of this contract.
