II.3) SHORT DESCRIPTION OF NATURE AND QUANTITY OR VALUE OF SUPPLIES OR
SERVICES: The Welsh Assembly Government are leading the development of the
JESSICA in Wales Urban Development Fund (UDF) which will invest in
integrated regeneration schemes in Wales in accordance with identified
investment criteria. It is the current intention that the UDF will be
created with investment being made into it over two phases as follows:
— Phase 1 – Establishment of a UDF with 100 % public funding comprising of
an estimated £25M of European Structural Funds and an estimated 30 000 000
GBP of Welsh Assembly Government property assets;
— Phase 2 – Private investment raised to expand the fund.
It is the current intention that the day to day operation of the fund will
be carried out by a Fund Manager and an Investment Manager. It is
envisaged that the services required will include but not be limited to
appropriate independent fund governance, maximising investors returns
through fund and scheme level portfolio management; evaluating
opportunities, and, monitoring and reporting on the performance of
investments.

II.7) ADDITIONAL INFORMATION: Applicants should note that the contract
award will be contemporaneous with the establishment of the UDF at Phase 1
and will be subject to the necessary approval being received from the
following:
a) Welsh Assembly Government
b) Welsh European Funding Office (WEFO)
The contract award will also be subject to the Contracting Authority
obtaining the necessary State aid approvals.

transferred from the Welsh Assembly Government to the UDF entity once
established.

LOT No: 1
TITLE: Fund Management Services
1) SHORT DESCRIPTION: It is the current intention that the Fund Manager
will be accountable to the UDF Management Board for all strategies and
day-to-day financial monitoring. The role will include but not be limited
to, drafting annual business plans for Management Board approval; working
with the Investment Manager to ensure the fund is optimised through
effective implementation of the business plans; treasury management;
company secretariat; compliance with required audit and reporting regime;
fund level risk management; and, securing private sector investment into
the fund.

LOT No: 2
TITLE: Investment Management Services
1) SHORT DESCRIPTION: It is the current intention that the Investment
Manager will manage the direct commercial property and residential land
portfolio optimising and realising value consistent with the fund
objectives. The role will also include but not be limited to, the
evaluation of investment proposals; carrying out pre-investment due
diligence; negotiating investment terms and making recommendations to the
Fund Manager to take forward to the UDF Management Board.
Post investment, it is envisaged that the Investment Manager will monitor,
analyse and report investment performance in accordance with the Fund
Manager requirements.
