SECTION II: OBJECT OF THE CONTRACT
II.1) DESCRIPTION
II.1.1) Title attributed to the contract by the contracting authority:
UK-Aylesbury: shared support services.
II.1.2) Type of contract and location of works, place of delivery or of

II.1.3) The notice involves: A public contract.
II.1.5) Short description of the contract or purchase(s): Buckinghamshire
County Council is acting as the Lead Participating Authority for the
purposes of administering this procurement process.
Buckinghamshire County Council, Aylesbury Vale District Council,
Buckinghamshire and Milton Keynes Fire Authority, South Bucks District
Council and Wycombe District Council (together the 'Participating
Authorities') have formed the Buckinghamshire Shared Support Services
Pathfinder Partnership in order to jointly procure a private sector
partner with whom to establish a Joint Venture Company to provide services
to the Participating Authorities and Beneficiary Authorities. The
estimated combined spend of the Participating Authorities will be in the
region of 43 000 000 GBP per annum.
The Beneficiary Authorities are Buckinghamshire Primary Care Trust,
Chichester District Council, Chiltern District Council, Hart District
Council, Tunbridge Wells Borough Council, Woking Borough Council ('the
Beneficiary Authorities'). The estimated combined spend of the Beneficiary
Authorities will be in the region of 16 000 000 GBP per annum. However;
the Participating Authorities cannot guarantee the involvement of the
Beneficiary Authorities. The services that the Joint Venture company will
provide include, but are not limited to, professional human resources
services, payroll and transactional HR processing, professional finance,
transactional financial processing, professional information and
communications technology (ICT) and development, operational ICT and
helpdesk and operational facilities management, property services, repairs
and helpdesk, and related services (the Key Shared Services).
In addition, the Joint Venture Company may also be required to provide
additional services relating to procurement, revenues and benefits,
customer services and related services (the Additional Shared Services).
However, the Participating Authorities cannot guarantee the inclusion of
these additional services. The estimated combined spend of the
Participating Authorities for the Additional Services will be in the
region of 6 to 8 000 000 GBP.
The Joint Venture Company will be awarded a services contract by the
Participating Authorities which is anticipated to be for a 10 year term
with an option to extend for up to an additional 3 years at the discretion
of the Participating Authorities (including the discretion to restrict
services being provided during the extended term) The arrangement is
intended to deliver medium and longer term cost savings; increased
efficiency, sustainable services and performance delivery. It is expected
that the Transfer of Undertakings (Protection of Employment) Regulations
2006 ('TUPE') will apply to the award of the contract and that staff will
transfer to the incoming provider. Bidders are expected to seek
independent legal advice on the application of TUPE in these
circumstances. The Participating Authorities reserve the right not to
award the contract or to award only part of the contract described in this
notice. Further details are contained in the Pre qualification
questionnaire (PQQ) and the Information Document (ID).

II.2) QUANTITY OR SCOPE OF THE CONTRACT
II.2.1) Total quantity or scope: The estimated value of the Key Shared
Services to the Participating Authorities is in the region of 43 000 000
GBP per annum. The estimated value of the Key Shared Services that the
Joint Venture Company may be required to provide to the Beneficiary
Authorities covered by this procurement is in the region of 16 000 000 GBP
per annum. The estimated value of the Additional Shared Services that the
joint venture company may be required to provide to the Participating
Authorities is in the region of 6 million to 8 000 000 GBP per annum and
the estimated value of the Additional Shared Services that the Joint
Venture Company may be required to provide to the Beneficiary Authorities
is in the region of 1 000 000 GBP per annum to 3 000 000 GBP per annum.
In the event that not all the Participating and Beneficiary Authorities
are able to proceed with the Joint Venture, the intention is that the
Participating Authorities and remaining Beneficiary Authorities will
nevertheless wish to proceed with the award procedure but accordingly the
value and scope of the services would be reduced.
II.2.2) Options: Yes.
Description of these options: The contract will be for a period of 10
years with the option to extend (exercisable at the Participating
Authorities' discretion) and during the initial term (including the
discretion to restrict the services being provided during the extended
term) for up to a further 3 years.

II.3) DURATION OF THE CONTRACT OR TIME-LIMIT FOR COMPLETION: Duration in
months: 120 (from the award of the contract).
SECTION III: LEGAL, ECONOMIC, FINANCIAL AND TECHNICAL INFORMATION
III.1) CONDITIONS RELATING TO THE CONTRACT
III.1.1) Deposits and guarantees required: The Participating Authorities
reserve the right to require parent company guarantees or other forms of
appropriate security. See PQQ for further details.
III.1.4) Other particular conditions to which the performance of the
contract is subject: Yes.
The provider may be required to participate actively in the achievement of
social policy objectives relating to recruitment and training for example
and/or environmental policy objectives. Accordingly, contract performance
conditions may relate in particular to social and environmental
considerations.
III.2) CONDITIONS FOR PARTICIPATION
III.2.1) Personal situation of economic operators, including requirements
relating to enrolment on professional or trade registers: Information and
formalities necessary for evaluating if requirements are met: In
accordance with Articles 45 to 50 of Directive 2004/18/EC and Regulations
23-26 of the Public Contracts Regulations 2006 (as amended) and as set out
in the pre qualification questionnaire available from the address in
section 1.1.
III.2.2) Economic and financial capacity: Information and formalities
necessary for evaluating if requirements are met: In accordance with
Articles 45 to 50 of Directive 2004/18/EC and Regulations 23-26 of the
Public Contracts Regulations 2006 (as amended) and as set out in the pre
qualification questionnaire available from the address in section 1.1.
Minimum level(s) of standards possibly required: Bidders are required to
meet a minimum financial turnover threshold as detailed in the PQQ.
Bidders who fail to meet this minimum financial turnover threshold will be
excluded from further consideration and their tenders will not be
evaluated by application of the selection criteria.
Failure to provide any information may result in disqualification. Bidders
are also required to meet a minimum insurance standard and provide
evidence that they have the stated minimum levels of insurance in place.
Failure to provide evidence of minimum insurance levels will result in
disqualification.

Section II.1.2 -the contract relates to a wide ranging shared services
project and so covers the following additional service categories not
included in Section II.1.2 -service category '9' (accounting, auditing and
book keeping services ), service category '14' (Building cleaning services
and property management services) and service category 11 (Management
Consulting).
The Participating Authorities reserve the right to use variants as part of
the tendering process. Confirmation as to whether variants will be
accepted as part of the tendering process will be confirmed at the
Invitation to Participate in Dialogue stage. Section IV.3.3.- the PQQ and
Information Document are available upon request from the address and
contact stated in Section I.1 from the date of despatch of this notice .It
is anticipated that the invitation to participate in dialogue will be sent
to the shortlisted bidders in or after August 2009. Section
IV.3.4-Requests to Participate must be by way of completion and return of
the PQQ by the date and time specified in section IV.3.4.
The Lead Participating Authority is carrying out this procurement on
behalf of the Participating Authorities and the Beneficiary Authorities
and their statutory successors and organisations created as a result of
organisational changes.

VI.4.2) Lodging of appeals: Precise information on deadline(s) for
lodging appeals: In accordance with Regulation 32 (information about
contract award procedures and the application of the standstill period
