1. DEFINITION OF REQUIREMENTS:

Public Works and Government Services Canada on behalf of the
Crown as a whole intends to solicit a proposal and negotiate
with Carswell, A Thomson Company to promulgate a National Master
Standing Offer for legal information retrieval services to
Canadian government departments, corporations and agencies
across Canada on an "as and when requested" basis.

Carswell, A Thomson Company creates and offers access to a
variety of legal online database subscriptions. Carswell offers
access to many online databases of statutory materials, case
law, and legal commentary through weekly newsletters. In
addition, Carswell offers legal news and caselaw from the United
States, the United Kingdom, the European Union, Australia and
Hong Kong through the Westlaw databases. The largest and most
widely used proprietary Carswell products are Family Source, Law
Source, Insolvency Source and Securities Source.

2. TRADE AGREEMENTS:

This requirement is subject to limited tendering procedures in
accordance with AIT, Article 506 12(a) exclusive rights and in
accordance with WTO, Article XV.1(b) exclusive rights and
excluded from NAFTA under classification D317, Automated News
Services, Data Services, or Other Information Services. This
requirement is not subject to CLCA because no procurement is
conducted in the area of land claims.

3. SOLE SOURCE JUSTIFICATION:

The proposed Contractor is the sole owner of the Family Source,
Insolvency Source and Security Source and other proprietary
databases and the supporting proprietary search modules and
reporting systems in support of these products and the only
authorized agent to sell their subscription in Canada.

4. INTELLECTUAL PROPERTY

There is no Itellectual Property.

5. PROPOSED NATIONAL MASTER STANDING OFFER PERIOD:

1 March 2009 to 28 February 2012.

You are hereby notified that the government intends to negotiate
with one firm only as identified above. Should you have any
questions concerning this requirement, contact the contracting
officer identified above.

An Advance Contract Award Notice (ACAN) allows departments and
agencies to post a notice, for no less than fifteen (15)
calendar days, indicating to the supplier community that it
intends to award a good, service or construction contract to a
pre-identified contractor. If no other supplier submits, on or
before the closing date, a Statement of Capabilities that meets
the requirements set out in the ACAN, the contracting authority
may then proceed with the award. However, should a Statement of
Capabilities be found to meet the requirements set out in the
ACAN, then the contracting authority will proceed to a full
tendering process.

Suppliers who consider themselves fully qualified and available
to provide the services/goods described herein, may submit a
statement of capabilities in writing to the contact person
identified in this Notice on or before the closing date of this
Notice. The statement of capabilities must clearly demonstrate
how the supplier meets the advertised requirements.
