SECTION II: OBJECT OF THE CONTRACT
II.1) DESCRIPTION
II.1.1) Title attributed to the contract by the contracting authority:
Tender for the provision of Project Management and Consultancy Services
for assisting the Government of Cyprus with the development of the
Vasilikos Energy Centre.
II.1.2) Type of contract and location of works, place of delivery or of
performance: Services.

Main place of performance: At the Project Manager – Consultant’s office in
Cyprus and abroad as required.

II.1.3) The notice involves: A public contract.
II.1.5) Short description of the contract or purchase(s): The Government
of Cyprus (GoC) through the Ministry of Commerce, Industry and Tourism
requires the provision of project management and consultancy services,
including project management, administration, assistance, advice and
reporting on all aspects concerning: i) the securing and concluding of a
long term Sale and Purchase Agreement (SPA) agreement for Cyprus, ii) the
establishment, commissioning and successful and safe operation of the
Vasilikos Energy Centre onshore LNG terminal and iii) the establishment,
commissioning and successful and safe operation of the Vasilikos Energy
Centre oil products terminal. The onshore LNG terminal will include
facilities for the importation, storage and regasification of LNG. The oil
products terminal will include facilities for the importation, storage and
handling of all oil products traded in Cyprus, as well as biofuels and
also for the possibility of export of the aforementioned oil products
abroad.

II.2) QUANTITY OR SCOPE OF THE CONTRACT
II.2.1) Total quantity or scope: Provide Project Management and
Consultancy Services for securing a long term LNG supply agreement for
Cyprus, the Development of the Vasilikos Energy Centre onshore LNG
Terminal and the Development of the Vasilikos Energy Centre Oil Terminal.
Estimated value excluding VAT: 8 000 000 EUR.
II.2.2) Options: No.
II.3) DURATION OF THE CONTRACT OR TIME-LIMIT FOR COMPLETION: Duration in
months: 65 (from the award of the contract).
SECTION III: LEGAL, ECONOMIC, FINANCIAL AND TECHNICAL INFORMATION
III.1) CONDITIONS RELATING TO THE CONTRACT
III.1.1) Deposits and guarantees required: 1. Each Bid shall be
accompanied by a Bid Guarantee for the amount of three hundred thousand
(300.000) EUROS. 2. The Selected Bidder shall submit a Performance
Guarantee for an amount equal to ten per cent (10 %) of the Lump Sum Value
of the Contract Price. 3. The Selected Bidder shall submit an Advance
Payment Guarantee for an amount equal to ten per cent (10 %) of the Lump
Sum Value of the Contract Price. All Guarantees shall be bank guarantees
issued by a bank or financial institution lawfully operating in any of the
following countries, and having the right to issue such guarantees in
accordance with the legislation of these countries: the Republic of
Cyprus, any member state of the European Union (EU), any country of the
European Economic Area (EEA), any country that has signed and ratified the
Government Procurement Agreement (GPA) and must be issued in the English
language.
III.1.2) Main financing conditions and payment arrangements and/or
reference to the relevant provisions regulating them: The Contracting
Authority shall finance the Contract. All payments shall be made in EURO.
An advance payment equal to ten per cent (10 %) of the Lump Sum Value of
the Contract Price, upon signature of the Contract and against submission
by the Project Manager – Consultant of an Advance Payment Guarantee for
the same amount. Percentage payments of the Lump Sum Value of the Contract
Price shall be paid to the Project Manager – Consultant upon completion of
each instalment.
III.1.3) Legal form to be taken by the group of economic operators to
whom the contract is to be awarded: Consortia are not obliged to
constitute a specific legal form in order to submit their Bids. If the
Selected Bidder is a Consortium then such Consortium may be required
before the Agreement is signed, to assume a specific legal form, to the
extent that this is necessary for the satisfactory performance of the
Contract.
III.1.4) Other particular conditions to which the performance of the
contract is subject: Yes.
Subject to the laws and regulations of the Republic of Cyprus.
III.2) CONDITIONS FOR PARTICIPATION
III.2.1) Personal situation of economic operators, including requirements
relating to enrolment on professional or trade registers: Information and
formalities necessary for evaluating if requirements are met: All natural
or legal persons (governed by public or private law) or consortia of
natural and/or legal persons, lawfully established in any of the following
countries: the Republic of Cyprus, any member state of the European Union
(EU), any country of the European Economic Area (EEA), any country that
has signed and ratified the International Government Procurement Agreement
(GPA). To participate in the Tender procedure, interested economic
operators must fulfil the criteria specified under Article 51 of the Law
and Article 45 of Directive 2004/18/EC and must not have been subject of a
conviction by final judgment for one or more of the reasons listed in the
tender documents.
III.2.2) Economic and financial capacity: Information and formalities
necessary for evaluating if requirements are met: To participate in the
Tender Procedure, Interested Economic Operators must meet the following
requirements concerning their economic and financial standing: a. Their
average annual turnover for the previous three (3) financial years must be
at least equal to four million (4.000.000) EURO. b. They must during the
previous three (3) financial years have been active and financially robust
business units, in accordance with their audited Profit and Loss accounts
and Balance Sheets and with the auditors’ reports accompanying these. More
specifically: I. Their average annual operating results for the previous
three (3) financial years must be positive; II. Their average cash and
cash equivalents at the year-end for the previous three (3) financial
years must be positive.
III.2.3) Technical capacity: Information and formalities necessary for
evaluating if requirements are met: A. The number of natural persons
permanently employed by the Interested Economic Operator, on average
during the previous three (3) years, should not be less than fifty (50).
B. They must possess, and be able to document adequately, know-how and
experience in the implementation of contracts similar to the Contract
being put out to tender and, more specifically, they must possess
experience and expertise in the provision of the following service types:
a. LNG and natural gas business, supply chain and global market analysis;
b. Tender structures and tender processes for the sale and purchase of
LNG; c. Consulting on and development of Corporate/Commercial Structures,
including the formulation of joint ventures, for the establishment and
operation of onshore LNG terminals and oil products terminals; d.
Drafting, reviewing, negotiating and concluding contractual commercial
agreements concerning LNG terminals and oil products terminals, including,
but not limited to: I. Long term supply of liquefied natural gas Sale and
Purchase Agreements (LNG SPAs) II. Joint venture agreements III. Terminal
Use Agreements (TUAs) IV. Terminal Operation and Maintenance Agreements V.
Terminal Financing Agreements VI. Terminal EPC Agreements VII. Terminal
Services Agreements VIII. Gas Sales Agreements (GSA) IX. Land Lease
Agreements X. Facilities sharing Agreements XI. Strategic Storage
agreements XII. Throughput agreements XIII. Any auxiliary project
documents e. Consulting, Engineering, Auditing and Project Management
services for LNG import, storage and regasification terminals on EPC
basis; f. Consulting, Engineering, Auditing and Project Management
services for oil products import, storage and distribution terminals; g.
FEED background for LNG and oil products importation and storage terminals
including port and marine facilities; h. Preparation of tender documents,
administering of tender procedures and evaluation of bids in relation to
the establishment of LNG terminals and oil products terminals. C. They
must during the previous ten (10) years, starting from January 1, 1997 and
ending on January 1, 2008, have completed successfully at least three (3)
contracts, with a budgeted cost amounting to at least 80 % of the Contract
Budget and having as their scope the provision of services of the above
categories a, b, c, d, e and f with a minimum participation percentage of
50 %. the term completed shall mean that implementation of the respective
contract is at least 80 %. D. Interested Economic Operators should be
certified in accordance with ISO 9001:2000 series of Cyprus standards, by
a recognised Institute or Organisation that is certified with CYS EN ISO
45000, for the provision of services similar to those required in the
Tender.

IV.1) TYPE OF PROCEDURE
IV.1.1) Type of procedure: Open.
IV.2) AWARD CRITERIA
IV.2.1) Award criteria: The most economically advantageous tender in
terms of the criteria stated below:
1. Understanding the requirements of the contract scope. Weighting: 0.07.
2. Methodologies, support tools and quality assurance. Weighting: 0.14.
3. Breakdown of the contract scope into activities and deliverables.
Weighting: 0.21.
4. Contract scope implementation schedule. Weighting: 0.07.
5. Organisational effectiveness of the Project Team. Weighting: 0.105.
6. Clarity of the responsibilities andvduties of the experts in relation
to the activities of the contract. Weighting: 0.105.
7. Financial proposal. Weighting: 0.3.

Terms and method of payment: All economic operators wishing to acquire the
Tender Documents shall send to the Contracting Authority a letter, a fax
or an email stating their interest in participating in the Tender and
indicating their full contact details. Requests for obtaining the Tender
Documents shall be accepted not later than six (6) days prior to the Bid
Deadline. Economic operators shall pay the above price for obtaining one
(1) hard copy and one (1) electronic copy of the Tender Documents.
Together with the Tender Documents they shall receive one (1) electronic
copy of the existing Vasilikos Energy Centre Basis of Design (BoD) and the
Alternative Operational Framework (AOF) for the development and operation
of the Vassilikos Energy Centre oil products terminal, in order to fully
assess all the available information and prepare their Bids. Each economic
operator or an authorised representative after it proceeds with the
payment and prior to obtaining the Tender Documents and the Basis of
Design (BoD) shall be obliged to sign a Confidentiality Agreement with
respect to the secrecy and non-disclosure of the Basis of Design (BoD).
The payment can be made by any of the following three methods: a. By
cheque, crossed A/C payee only and made payable to: The Permanent
Secretary, Ministry of Commerce, Industry and Tourism. b. By cash to the
Accounts Department, Ministry of Commerce, Industry and Tourism, 6 Andrea
Araouzou Street, 1421 Nicosia, Cyprus. c. By bank transfer to the Central
Bank of Cyprus for the credit of the Government General Account, IBAN:
CY16 0010 0001 0000 0000 0600 1010, or in the event of a bank transfer
from a bank operating abroad to the SOCIETE GENERALE Paris (Swift code:
SOGEFRPP), for the credit of the Account No. IBAN: FR76 30003 06990
