II.3) DURATION OF THE CONTRACT OR TIME LIMIT FOR COMPLETION: Duration in
months: 16 (from the award of the contract).
SECTION III: LEGAL, ECONOMIC, FINANCIAL AND TECHNICAL INFORMATION
III.1) CONDITIONS RELATING TO THE CONTRACT
III.1.1) Deposits and guarantees required: Bidders are informed that a
Bid Guarantee Bond shall be provided together with the offer. The amount
shall be not less than 190 000 EUR. The form shall be given by ENEL ("on
first demand" guarantee), issued in favour of ENEL PRODUZIONE S.p.A.,
having the validity of the offer plus 20 days. Such Guarantee Bond shall
be issued, at full care and cost of bidder, by an international primary
reputable bank or by a 1st class Insurance Company, which shall be
approved by ENEL. ENEL reserve the right to ask a confirmation by an
Italian Bank, that will be indicated by ENEL. ENEL will open the Bidder’s
offer only if the Guarantee Bond has been corrected submitted. Following
the closing of the Tender process, at the moment of Contract signature,
the Contract will come into force only when the Bidder will have provided
an overall Performance Bond according to the form given by ENEL, with a
maximum amount of 20 % of the estimated contract amount. The Performance
Bond shall be an "on first demand" bank guarantee, in favour of ENEL
issued by an international primary reputable bank. ENEL reserve the right
to ask a confirmation by an Italian Bank, that will be indicated by ENEL.
In the case of Temporary Associations of Companies, the above Guarantee
Bonds will be provided by the Agent or Group Leader company only.
III.1.2) Main financing conditions and payment arrangements and/or
reference to the relevant provisions regulating them: The job contract
will be based on unit rate prices. Prices are fixed and not subject to
revisions because of increases in the prices of materials, labour,
consumable stores, duties, taxes, freights or any other reason whatever.
Payments: according to physical progress of the work and with payments
within 90 days. Any form of down payment is excluded.
III.1.3) Legal form to be taken by the grouping of economic operators to
whom the contract is to be awarded: Legal forms foreseen by Italian
Legislative Decree No 163/06 shall be allowed (as per art. 34 of Italian
Legislative Decree No 163/06).
III.1.4) Other particular conditions to which the performance of the
contract is subject: No.
III.2) CONDITIONS FOR PARTICIPATION
III.2.1) Personal situation of economic operators, including requirements
relating to enrolment on professional or trade registers: Information and
formalities necessary for evaluating if requirements are met: a)
Declaration attesting that no reasons for exclusion exists, as per article
38, comma 1 of the Italian Legislative Decree No 163/06. b) Declaration
attesting that no forms of control exists with other Companies
participating in the tender, as per article 2359 of the Italian Civil
Code. c) Declaration attesting that there is no, even partial,
coincidence, as to the members of administration and representation bodies
or to the signatories of the bid documents, with other Companies
participating in the tender. d) Copy of the certification attesting the
enrolment in the Register of Companies of the Chamber of Commerce,
Industry, Handicraft and Agriculture or in the Register of Provincial
Commissions for the Handicraft Sector, or, for foreign Companies not
residing in Italy, in the professional Register of the State of residence.
e) An undertaking to issue, if granted the contract, specific statements
regarding: - consent to the handling of personal data: - Company structure
declaration (with the exception of Companies listed on stock exchanges); -
Declaration of Absence of Conflicts of Interest (except Companies listed
on stock exchanges) f) Declaration, to be submitted only in case of
Temporary Association of Companies (TAC), as defined by the article 34
(comma 1, letter d) of the Italian Legislative Decree No 163/06, attesting
the composition of the TAC, indicating the Agent Company and Principal
Companies as well as their relevant tasks and responsibilities, with joint
and shared liability. The declaration shall contain the commitment to
comply with the disposal of the article 37 of the Italian Legislative
Decree No 163/06 during the phase of the offer. g) Declaration, to be
submitted only in case of Consortium according to the article 34 of the
Italian Legislative Decree No 163/06, attesting the composition of the
Consortium indicating the Agent Company and Principal Companies as well as
their relevant tasks and responsibilities, with joint and shared liability
and specifying the details of the Companies members of the Consortium. The
declaration shall contain the commitment to comply with the disposal of
the article 37 of the Italian Legislative Decree No 163/06 during the
phase of the offer. h) Declaration, to be submitted only in case of
Consortium according to article 34, comma 1, letters b) and c) of Italian
Legislative Decree No 163/06, attesting the composition of the Consortium
specifying the details of the Companies members of the Consortium. Should
the Consortium not directly (either partially or totally) carry out the
works, it shall submit a declaration specifying the details of the member
Companies appointed by the Consortium itself to perform the works, as well
as their relevant tasks and responsibilities, with joint and shared
liability. The declaration shall contain the commitment to comply with the
disposal of the article 37 of the Italian Legislative Decree No 163/06
during the phase of the offer. In case of Temporary Association of
Companies and Consortium all the members shall provide the declarations as
per point from a) to e).
III.2.2) Economic and financial capacity: a) Declaration attesting the
overall amount of turnover over the last 3 years (2005-2007), as resulting
from the approved financial statements; the total amount of the turnover
over the last 3 years shall not be less than 24 000 000,00 EUR. b)
Declaration attesting the overall amount of turnover for works over in the
last 3 years (2005-2007): the total amount of the turnover of works over
the last 3 years shall not be less than 14 500 000,00 EUR. In case of
Temporary Association of Companies (TAC), the above requirement shall be
met by the TAC as a whole and, specifically: by the Agent Company for a
minimum of 60 % of the stated values and by each principal Company for a
minimum of 20 % of the stated values. In case of Consortium of Bidders,
the above requirement shall be met by the Consortium as a whole and,
specifically: by the Consortium Leader for a minimum of 60 % of the stated
values and by each Associated Bidder for a minimum of 20 % of the stated
values. In case of Permanent Consortium or Consortium between Cooperatives
of production and labour (ref. art 34, comma 1 letters b) and c) of
Italian Legislative Decree No 163/06), the above requirement shall be met
by the Companies appointed to perform the supply as a whole and,
specifically, by each one of the above mentioned Companies for a minimum
of 20 % of the stated values. For more details regarding provisions in the
event of employment of auxiliary parties (pursuant to what is set forth in
art. 49 of Italian Legislative Decree No 163/06) see Annex 2_List Of
Minimum Requirements. Enel reserves the right to require to prove the
statements made of the turnover figures during the bidding phase by
submitting copies of an extract of the approved financial statements.
III.2.3) Technical capacity: Information and formalities necessary for
evaluating if requirements are met: a) Declaration of the Company, or of
the Companies forming the TAC, attesting the adoption of a quality system
complying with the UNI EN ISO 9001 standards. b) Technical/economical
requirements: The candidate shall provide a list of similar works (similar
to the one is subject matter of the bid) performed over the last 3 years
(2005-2007). The overall amount of the listed contracts shall not be less
than 11 500 000,00 EUR. c) The candidate shall provide one work, similar
to the one is subject matter of the bid, performed over the last 5 years
(2003-2007): the amount of such work shall not be less than 4 800 000,00
EUR. In alternative the Candidate shall provide 2 works, similar to the 1
is subject matter of the bid, performed over the last 5 years (2003-2007)
of an overall amount not be less than 6 000 000 EUR. For each 1 of the
listed works, the following details shall be given: contract amount, date
of contract award, name of the Client, completion date (if applicable),
plant location and size of the plant, declaration of satisfactory
execution (if applicable). Should such supplies have been awarded by an
association of Companies, the declared amount shall be the portion
ascribable to the single Company within the association. - In case of
Temporary Association of Companies (TAC), the above requirements shall be
met for a minimum of 60 % of the stated amounts by the Agent Company and
for a minimum of 20 % by each of the Principals. - In case of Consortium
of Bidders, the above requirements shall be met for a minimum of 60 % of
the stated amounts by the Consortium Leader and for a minimum of 20 % by
each Company of the Consortium. - In case of Permanent Consortium or
Consortium between Cooperatives of production and labour (ref. art 34,
comma 1 letters b) and c) of Italian Legislative Decree No 163/06), the
above requirements shall be met by the Companies appointed to perform the
supply as a whole and, specifically, by each one of the above mentioned
Companies (with reference to the portion of the work/supply that the each
Company is going to carry out) for a minimum of 20 % of the stated value.
During the Tender the Supplier will be requested to submit suitable
documentation giving evidence that the above mentioned
technical/economical requirements are fully met. d) Declaration of
availability of access to Internet and of an e-mail address (which shall
be communicated to ENEL). The bidding companies must be registered for
access to AES (Ariba Enterpise Sourcing) system for the Merchandise Group
LCCC05 – Edifici industriali - costruzione ristrutturazione - so that they
take part in all the on-line phases of tender. Training and instructions
(including a DEMO) regarding how to take part in on-line tenders can be
found in the documentation available on ENEL website www.acquisti.enel.it
, accessible from the links in the GARE ON LINE (on-line tenders) area,
which includes also the Regulations governing on-the line tenders called
by ENEL S.p.A. Annex 3_BECOME SUPPLIER.ppt and Annex 4_FOCUS.doc are
available to help in qualification to the above mentioned Merchandise
Group. We specify that in case of TAC or Consortium all the members shall
satisfy this condition.

VI.3) ADDITIONAL INFORMATION: a) According to article 13 of Italian
Legislative Decree 196/2003 ("Code relevant to the protection of personal
data"), we inform you that personal data submitted by the Companies during
the procurement process, are collected and processed by Enel S.p.A., and
by the Companies under the direction and coordination of Enel S.p.A., even
with the aid of electronic means, for the purposes of tender management
and of contract stipulation/management (if any), as well as to perform the
obligations provided by law. On this matter it is specified that: - the
collection of all the data, requested from time to time, is an essential
prerequisite to the establishment and carrying out of the relationship
mentioned above; - the data gathered, as well as those processed, shall be
subject to communication exclusively to Enel S.p.A. and to the Companies
under the direction and coordination of Enel S.p.A., and shall not be
disclosed to third parties, except for the cases permitted by law; - the
Companies and the persons concerned are allowed to assert the rights
provided for at article 7 of Italian Legislative Decree 196/2003, as to
the existence and processing of the relevant personal data. It is
furthermore specified that the body proprietor of the data processing is
Enel S.p.A and that the person responsible of the processing is the
Responsible "pro-tempore" of the Function "Acquisti e Servizi" of Enel
S.p.A., with registered address for its position in Viale Regina
Margherita, 137-00198 Roma (ITALY). b) This Contract Notice is subject to
Italian Legislative Decree No 163/06 “Codice dei Contratti pubblici
relativi a lavori, servizi e forniture in attuazione delle direttive
2004/17/CE e 2004/18/CE” (in force from 1.7.2006), and available at the
address http://www.parlamento.it/parlam/leggi/deleghe/dlattcee.htm of
Parlamento Italiano), where applicable in public contracts of works,
services and supplies in special sectors. c) Provisions in the event of
employment of auxiliary parties (pursuant to what is set forth in art. 49
of the Italian Legislative Decree No 163/06): The Bidder (in any possible
legal form) can comply with the possession of economical, financial and
technical requirements through "ISTITUTO DELL'AVVALIMENTO" as per art.49
of Italian Legislative Decree No 163/06. In this case the candidate shall
formulate appropriate request together its own request of candidature,
providing the documentation required at comma 2 of the above article.
