LETTER OF INVITATION

1. The Government of Georgia (hereinafter the “Government”) has received a grant up to USD 295,300,000 from the Millennium Challenge Corporation (the “MCC”) toward the cost of Millennium Challenge Program and intends to apply a portion of the funds to eligible payments under the contract for which this Letter of Invitation is issued.

2. In this procurement proceeding, the Government is represented by Millennium Challenge Georgia Fund (the “MCG”). The MCG now invites proposals to provide the consulting services for technical assistance in designing and implementing impact evaluations for its Regional Infrastructure Development (RID) activity. More details on the services are provided in the Terms of Reference.

3. The rules and procedures for this procurement are set out in Part I of the RFP, Instructions to Consultants. A firm will be selected under Quality and Cost based Selection procedures described in this RFP, in accordance with the policies of the MCC detailed in the Guidelines which can be found at the following website: www.mcg.ge Although similar to procedures used for procurements financed by The World Bank, there are significant differences and firms are advised to review these instructions carefully.

4. This RFP has been addressed to all eligible consultants. (See the first section of the Instructions to Consultants.) After downloading the RFP and the Registration Form from MCG’s web site www.mcg.ge “Active Procurement” link, please register your firm as Consultant by filling in the Registration Form and sending it to g.tvalavadze@mcg.ge in PDF format. The registration should be done by close of the business day in Georgia on June 23, 2008. MCG will send the list of registered Consultants to all participants in the selection procedure for which this RFP is issued.

5. Please be advised that registration is not complete until the consultant receives a confirmation number. Please also inform us with the same Form whether you will submit a proposal alone or in association.

6. Proposals submitted by of Consultants that have not registered will not be considered for evaluation and will be returned unopened to the Consultants.

7. Payment will be made ONLY in U.S. Dollars (“US$”) or in Georgian Lari (GEL) or combination thereof. The term of contract will be from August 2008 through December 2009 (Phases I and II). Additional extensions will be considered subject to performance and potential for carrying out Phase III.

8. The RFP includes the following documents:

Part IV – Financial Proposal – Forms
Part V – Terms of Reference
Part VI – Form of Contract

9. Upon receipt please inform us in writing, or by electronic mail, at the address provided in paragraph 10:
(a) that you received the Letter of Invitation; and
(b) whether you will submit a proposal alone or with another firm(s) as a Joint Venture or as a lead firm.

10. Please note that a pre-proposal conference has been arranged for 3.00 p.m. local time on June 5, 2008 at the address provided in paragraph 10:
