I. Introduction
The project "Support for the Task Force on Implementation of Enterprise Law and Investment Law" funded by UNDP with the Task Force on Implementation of Enterprise Law and Investment Law, was approved by the Vice Prime Minister on 30 July, 2007. The project aims to improve effectiveness of the implementation of Investment Law and Enterprise Law through support for the Task Force on implementation of the two laws.

The Project invites all qualified companies/organizations to bid the sub-contract on: "Review and assess 02 years of Implementation of Enterprise Law (EL) and Investment Law (IL)".

II. Scope of work
The domestic sub-contractor (consulting firm) will be required to i) assist the Task Force in reviewing and assessing negative and positive impacts of the Law on Enterprise and the Law on Investment on the soclo-economic development; ii) identify problems, constraints and obstacles in implementing these two laws; iii) provide recommended solutions to such problems/obstacles to Improve the Implementation.

III.Technical Proposal
Your technical proposal should Include, but not necessarily be limited to, the following information:
a) A brief description of the institutional capability, outlining recent experience on projects/assignments of a similar nature in Viet Nam. You should also provide any other information that will facilitate our evaluation of your organization's reliability and capacity to meet our requirements (not limited to the following information: similar assignments undertaken, results
achieved, outcomes obtained, etc.);
b) Referees must be provided for each assignment undertaken that the Project may contact;
c) Any comments or suggestions on the TOR or on the data, support services and facilities to be provided by the Project;
d) Your detailed description of the
methodology/approach that your company/organization would respond to the TOR (including any documents, materials, tools and equipment).
e) A detailed work plan comprising, among others, the number of person-months in each activity that Is considered necessary to carry out the assignment, and the composition of your proposed work tasks (including supervisory) which would be assigned to each team member
f) The curriculum vitae of each nominated team members (especially your team leader) and
their time availability;

IV. Financial Proposal
Your financial proposal must contain an overall quotation in Vietnamese Dong. For all services
to be provided the following must be itemized: .
a) An ail-inclusive day rate for each team member;
b) An ail-Inclusive dally rate and total amount for local travel and DSA;
c) Other costs, If any (Indicating nature and breakdown);
d) Summary of total cost for the services proposed;
e) A proposed schedule of payments.

1. Please note that the cost of preparing a proposal and of negotiating a contract, Including any
cost for any related travel, Is not reimbursable as a direct cost to proposed services.
