SECTION II: OBJECT OF THE CONTRACT
II.1) DESCRIPTION
II.1.1) Title attributed to the contract by the contracting authority:
Repairs and Maintenance Strategic Contract.
II.1.2) Type of contract and location of works, place of delivery or of
performance: Works.
Design and execution.
Main site or location of works: North Hampshire.

II.1.3) The notice involves: A public contract.
II.1.5) Short description of the contract or purchase(s): Sentinel
Housing Association Limited (SHA) is a housing association based in
Hampshire, with approximately 7 000 units of housing stock.
Applicants should note that SHA have ambitious expansion plans through
acquisition and development and therefore it is envisaged that the number
of housing units to which this procurement will apply will substantially
increase over its duration and any contracts will take this expansion into
account.
SHA is seeking expressions of interest from innovative and suitably
resourced, qualified and experienced contractors to implement a partnered
programme for its repairs and maintenance works and services. These works
and services will include responsive repairs and maintenance, cyclical
maintenance (including but not limited to maintenance to lifts, electrical
testing, legionella water testing, painting and decorating, asbestos
testing, testing of: door entry systems, drains, fire extinguishers, smoke
detectors, fire alarms and disabled adaptations), voids maintenance, gas
servicing and repairs and grounds maintenance works, other environmental
works and internal and external improvement works (including the
replacement of kitchens and bathrooms, doors, windows, electrical
re-wiring and other environmental improvement works).
Successful contractor(s) will enter into a term partnering contract based
upon the form of the ACA Standard Form of Term Partnering Contract
(TPC2005) for those elements of the repairs and maintenance works and
services that can be sufficiently scoped and priced at the time of tender.
In respect of those elements of the works and services that cannot be so
priced and scoped, SHA will let a framework agreement leading to the
call-off of individual partnering contracts. Contractors should note that
while the term partnering contract has a potential duration of ten (10)
years, the framework agreement will be limited to four (4) years, although
call-offs may continue past the expiry of the framework agreement.
SHA reserves the right to award the works and services to one contractor
in the event that this represents the most economically advantageous
method of delivering the works and services. However, SHA will if
necessary consider awarding the works and services to more than one
contractor, depending on the quality and strength of the tender
submissions.
Further, SHA currently anticipates that, subject to the performance of the
successful contractor(s) it will seek to establish a joint venture
arrangement or similar at an appropriate point during the partnering
relationship and proposals will be invited in respect of such an
arrangement. Further details will be set out in the Contract Documents.

II.2) QUANTITY OR SCOPE OF THE CONTRACT
II.2.1) Total quantity or scope: The term partnering contract, as
detailed in Section II.1.5 above, will be entered into for an initial
period of sixty (60) months, extending at SHA's sole option to a maximum
of one-hundred and twenty (120) months via five (5) annual extensions.
The framework agreement, as detailed in Section II.1.5 above, will be for
a maximum duration of forty eight (48) months.
Estimated value excluding VAT: 11 600 000 GBP.
II.2.2) Options: Yes.
Description of these options: SHA reserves the right, at its sole
discretion, to operate a contractual option to extend the term partnering
contract from an initial period of five (5) years to a maximum of ten (10)
years, via the means of five (5) annual extensions.
Provisional timetable for recourse to these options: in months: 60 (from
the award of the contract)
Number of possible renewals: 5
in the case of renewable supplies or service contracts, estimated
timeframe for subsequent contracts: in months: 12 (from the award of the
contract).
II.3) DURATION OF THE CONTRACT OR TIME-LIMIT FOR COMPLETION: Duration in
months: 120 (from the award of the contract).
SECTION III: LEGAL, ECONOMIC, FINANCIAL AND TECHNICAL INFORMATION
III.1) CONDITIONS RELATING TO THE CONTRACT
III.1.1) Deposits and guarantees required: Details of the deposits and
guarantees required by SHA will be set out in the Contract Documents.
III.1.2) Main financing conditions and payment arrangements and/or
reference to the relevant provisions regulating them: Terms of financing
and payment arrangements will be set out in the Contract Documents.
III.1.3) Legal form to be taken by the group of economic operators to
whom the contract is to be awarded: Joint and several liability.
III.1.4) Other particular conditions to which the performance of the
contract is subject: Yes.
Under this contract the service provider and its supply chain will be
required to actively participate in the achievement of social and/or
environmental policy objectives relating to the recruitment and training
and supply chain initiatives. Accordingly contract performance conditions
may relate in particular to social and environmental considerations.
III.2) CONDITIONS FOR PARTICIPATION
III.2.1) Personal situation of economic operators, including requirements
relating to enrolment on professional or trade registers: Information and
formalities necessary for evaluating if requirements are met: All
Applicants will be asked to confirm in a pre-qualification questionnaire
that none of the conditions set down in Article 45 of directive 2004/18/EC
apply to their organisation or expression of interest.
III.2.2) Economic and financial capacity: Information and formalities
necessary for evaluating if requirements are met: Applicants will be
required to complete a prequalification questionnaire consistent with the
provisions of directive 2004/18/EC. The questionnaire is available from
the address set out at Appendix A and must be returned to the address set
out at Appendix A by the date stipulated in IV.3.4.
Minimum level(s) of standards possibly required: Minimum levels of
economic and financial capacity required by SHA will be set out in the
Pre-Qualification Questionnaire.
III.2.3) Technical capacity: Information and formalities necessary for
evaluating if requirements are met: Applicants will be required to
complete a prequalification questionnaire consistent with the provisions
of directive 2004/18/EC. The questionnaire is available from the address
set out at Appendix A and must be returned to the address set out at
Appendix A by the date stipulated in IV.3.4.

reserves the rights not to award the term partnering contract and/or the

framework agreement for part or parts of the works only. Further,
appointment to the term partnering contract and/or framework agreement is
not a guarantee of any fixed amount of work.
Contractors should note that SHA's workload in respect of repairs and
maintenance programme may transfer across to Contractors over the life of
the programme, in which case the provisions of the Transfer of
Undertakings (Protection of Employment) Regulations 2006 may apply.
