INVITATION FOR BIDS

April 8, 2008

1. The Government of Georgia (“Government”) and the United States of America, acting through the Millennium Challenge Corporation (“MCC”), executed the Millennium Challenge Account Compact on September 12, 2005 (“Compact”), that sets forth the general terms and conditions on which MCC will provide funding of up to US$295.3 million to the Government for a Millennium Challenge Account program to help facilitate poverty reduction through economic growth in Georgia. The Government, acting through Millennium Challenge Georgia Fund (“MCG”), is responsible for running the program. The Government intends to apply a portion of the proceeds of the MCC Funding to eligible payments under contract(s) for works to be awarded under International Competitive Bidding (ICB) for Phase II Rehabilitation Works on North-South Gas Pipeline in Georgia. The ICB procurement will cover four lots and nine sites:

 Lot A, Site 1, Gardabani 3.6 km Corrosion Site.
(Replacement of 3.6 km corroded section of Kazakh-Saguramo 1020 mm gas pipeline.)

 Lot A, Site 2, Rustavi 3.6 km Connector Site.
(Replacement of 3.6 km corroded 720 mm connector line between Karadagh-Tbilisi 720 mm and Kazakh-Saguramo 1020 mm gas pipelines.)

 Lot B, Site 4, Dushetiskhevi Crossing & Tributary Site.
(Arrangement of barrage in Dushetiskhevi riverbed and erosion protection at its tributary.)

 Lot B, Site 5, Tskhvedieti Stream Crossing Site.
(Arrangement of in stream barrage to maintain pipeline crossing near Tskhvedieti.)

 Lot C, Site 6, Two ROW Stream Culverts.
(Arrangement of two culverts on streams crossing the Right of Way in order to maintain access along the pipeline.)

 Lot C, Site 7, Aragvi River Bank Protection Site.
(Bank protection works against erosion of the left embankment of River Aragvi along the 2 km section of the gas pipeline.)

 Lot D, Site 3, Gldanula River Crossing Site.
(Replacement of 1020 mm gas pipeline underground crossing across River Gldanula.)

 Lot D, Site 8, Valves Replacement Site.
(Replacement of 9 block valves of various dimensions in 5 locations of gas pipeline.)

 Lot D, Site 9, Zhinvali Valve Removal Site.
(Removal of partially submerged line valve located in the bed of Zhinvali Reservoir)

We invite you to submit sealed bids for the execution and completion of the contracts covering these lots under the cited ICB.

2. In this procurement proceeding, the Government is represented by MCG. MCG now invites sealed bids from eligible and qualified Bidders for Phase II Rehabilitation Works on North-South Gas Pipeline in Georgia.

3. Bidding will be conducted through the International Competitive Bidding (the “ICB”) procedures as specified in these Bidding Documents and in compliance with the Procurement Guidelines governing the Compact procurements. The Procurement Guidelines are available at MCG website: www.mcg.ge. Although similar to procedures used for procurements financed by The World Bank, there are significant differences and firms are advised to review the Bidding Documents carefully.

4. Bidders must prove that they meet the following requirements to bid:
(a) have an average annual volume of construction work for the last three (3) years, reasonably sufficient to perform a contract in the amount of the Bidder's Bid for this contract;
(b) have performed as contractor on at least two (2) works contracts of a similar nature and complexity during the last three (3) years;
(c) have adequate working capital for the contract, taking into consideration access to line(s) of credit and/or availability of other financial resources.

5. A complete set of Bidding Documents in the English language may be downloaded by interested Bidders from MCG’s web site www.mcg.ge (Procurement - Active Procurement link). After downloading the Bidding Documents and the Registration Form, please register your firm as a Bidder by filling in the Registration Form and sending it to g.tvalavadze@mcg.ge. Registration is complete when the interested Bidder receives a registration number. Registered Bidders are invited to submit Bids for as many lots as they so choose and for which they are qualified, as described in the Bidding Documents. Bidders should bid separately for each lot for which they elect to prepare a Bid. As per instructions to Bidders, this procurement may lead to award of one or more contracts. A successful Bidder may be awarded a contract for one or multiple lots, depending on the number of lots for which it qualifies. Bidders are invited to provide a discount in case that they will be awarded a contract for multiple lots.

6. A DVD with the Bidding Documents may also be picked up at the address below on any business day between 2:00 pm and 4:00 pm local time. The registration for those firms who pick up the DVD with the Bidding Documents shall be in accordance with the procedure specified in para. 5 above.

7. Bids submitted by firms that have not registered will not be considered for evaluation and will be returned unopened to the firms.

8. Bids must be received at or before 18.00 p.m. local time on May 27, 2008 at the address below. Late bids will be rejected.
