Port of Praia Expansion and Modernization Works – Phase 1

To: All Bidders

The Millennium Challenge Corporation (“MCC”) and the Government of the Republic of Cape Verde (the “Government” or “GoCV”) have entered into a Millennium Challenge Compact for Millennium Challenge Account assistance to help facilitate poverty reduction through economic growth in Cape Verde (the “Compact”) in the amount of USD 110,078,488 (“MCC Funding”). The Government, acting through the Millennium Challenge Account - Cabo Verde (“MCA-CV” or “the Employer”), intends to apply a portion of the proceeds of MCC Funding to eligible payments under a Contract associated with this Invitation for Bids (“IFB”). Payments by the Employer will be subject, in all respects, to the terms and conditions, including restrictions on the use of MCC Funding, of the Compact. No party other than the Government and the Employer shall derive any rights from the Compact or have any claim to the proceeds of MCC Funding.

The Compact Program is comprised of three projects: Watershed Management and Agriculture Support, Infrastructure Development, and Private Sector Development. Infrastructure Development, in turn, includes construction of roads and bridges on two islands and a port project. The objective of this procurement process is to select a Contractor for the works relating to the implementation of the first phase of the Port of Praia Expansion and Modernization Project, covering the 3 following components:

• Component 1 -- Rehabilitation of Quay 2 Complex;
• Component 2 -- Construction of the Cargo Village (an off-site cargo village, including buildings); and
• Component 3 -- Construction of the Connecting Road (road connecting the port, the Cargo Village, and the Praia ringroad).

Component 1, Rehabilitation of Quay 2, is being offered under the Design-Build system (engineering works designed by and constructed by the Contractor), whereas the two other components (Components 2 and 3) are being offered under the Design-Bid-Build system (engineering works designed by the Employer and constructed by the Contractor).

Bidders are informed that the implementation of the second phase of the Port of Praia Project will start a few months after commencement of the first phase works. As shown on the phasing drawing, contained in the attached General Drawings Set, the second phase consists of extending Quay 1, reclaiming a port yard and constructing a breakwater at the nose of Quay 1. While preparing their Bids, Bidders must be aware that the contractor in charge of Phase 2 will be entitled to use the Connecting Road in order to truck construction material from the landside towards the port before completion of the Connecting Road works. Additional details can be found in the Conditions of Particular Application, Clause 9.

The Employer now invites Bidders to submit sealed Bids for the execution and completion of the cited contract for the Port of Praia Expansion and Modernization Project – Phase 1, which is being offered as a combination of a fixed price Design-Build contract (for the design and rehabilitation/construction of Component 1) and unit price construction contract based on Bills of Quantities (for the construction of Components 2 and 3) provided in the Bidding Documents.

Bidding will only be open to registered Bidders who register prior to (insert date which is 14 days prior to deadline for submission of Bids). The intent of registration is to ensure that the Bidding Documents and all subsequent amendments, if any, are sent to all interested Bidders; Registration is not being used to pre-qualify Bidders – no Bidder shall be rejected during the registration process. Interested Bidders must register by completing the Registration Form available at www.mca.cv, and sending it in PDF format to MCA-CV’s following e-mail addresses: Laurent.Brito@mca.cv, Zaida.Silva@mca.cv and Luis.Silva@mca.cv. Registration will be completed when a potential Bidder receives a registration number from MCA-CV. Potential Bidders may elect on the Registration Form to receive the Bidding Documents. either by 1) receiving the full set of documents in the hard copy and CD, against payment of USD 1000 to MCA-CV through bank transfer or 2) to receive only a CD with required information for free. In either case, the bidding documents, both in hard copy and in CD, must be collected from MCA office, whose address is presented below.

Please note that a Pre-Bid Conference will be held on the date and time specified in the enclosed Bid Data Sheet.

In addition, although not part of the Bidding Documents, Bidders are invited to view the Geotechnical Survey Reports, which can be found on the above-mentioned CD.

A firm will be selected under the Competitive Bidding procedures described in this IFB. Bidders are advised that these procedures are governed by the MCC Program Procurement Guidelines . Although these procedures are similar to those set out in the World Bank Guidelines: Procurement under IBRD Loans and IDA Credits, there are several significant differences and, therefore, Bidders are advised to review these instructions carefully.

Submissions from Bidders will be evaluated by a qualified Evaluation Panel. The evaluation process, as more fully described in the Bidding Documents, will include an assessment of the Bidders’ ability to carry out both the design of a component of the Works and the construction of the whole of the Works and also Bidders’ total proposed price for the three Components. The lowest priced evaluated Bidder shall be awarded the Contract subject to the procedures described in these Bidding Documents.

All Bids must be accompanied by a security in the form and amount specified in the Bid Data Sheet of the Bidding Documents. Furthermore, Bidders should note that the selected Bidder shall be required to submit a performance security as specified in the Appendix to Bid before the Contract award.

Bids must be delivered to the address given below no later than June 10th, 2008 by 10:00 AM (Cape Verde local time). Bids will be publicly opened the same day at the address below at 10:15 AM (Cape Verde local time). Late Bids will be rejected and returned unopened. Bidders should be aware that distance and customs formalities may require longer than expected delivery time.
