The Defense Energy Support Center (DESC) seeks to identify, and obtain information from, responsible sources in connection with the privatization of the natural gas distribution (NAICS 22120), water distribution (NAICS 221310), and wastewater collection (NAICS 21320) utility systems at MacDill Air Force Base (AFB), Florida. Privatization is defined as the conveyance of a utility system to a municipal, private, regional, district, or cooperative utility company or other entity. The conveyance may consist of all right, title, and interest of the United States in the utility system. Utility Privatization (UP) will be accomplished in accordance with 10 U.S.C. 2688 Utility Systems: Conveyance Authority.
Contractor will be required to assume ownership of the natural gas, water, and wastewater utility systems at MacDill AFB, Florida, and as the new owner, shall operate and maintain the system and provide utility services to the Government. Contractor shall furnish all necessary labor, management, supervision, permits, equipment, supplies, materials, transportation, and any other incidental items or services required for the complete ownership of and provision of utility services via these utility systems, including operation, maintenance, repair, upgrades, and improvements to the utility systems.
This Sources Sought Notice (hereinafter Notice) is an essential step in determining market interest and feasibility. Responses received will be used to develop marketing strategies for the potential privatization of utilities at this installation. Should interest be determined sufficient, a formal solicitation may be forthcoming. Interested parties should provide a statement of interest on company letterhead by no later than 4:00 pm on Monday, February 25, 2008. Responses are preferred via e-mail, but hard copies and facsimiles will also be accepted.
At a minimum, the statement of interest shall address: (1) capability and experience in utility privatization or owning and operating utility systems (2) financial capability to justify potential award of such a contract (3) a primary point of contact, including phone number and e-mail address and (4) an indication of the size of the business (large, small, or any sub-category of small business). The potential opportunity for set-asides for small businesses and small disadvantaged businesses will be considered on the basis of the responses received.
This Notice is solely for the Governments use as a market research tool. As such, the issuance of a competitive solicitation is not guaranteed. If determined appropriate, then both a synopsis and a solicitation may be anticipated in the March-April 2008 timeframe. All responsible sources are encouraged to submit a response to this Notice. All information received will be considered. Failure to respond to this Notice does not preclude a firm from offering on any resultant solicitation however, a lack of interest in this requirement may keep this effort from moving forward competitively.
This announcement shall not be construed as a commitment or authorization to incur costs in anticipation of an award. The Government is not bound to make any awards under this Notice.

Installation Description
MacDill Natural Gas:
The natural gas system being privatized is described as follows: MacDill Air Force Base is located approximately eight miles south of downtown Tampa on the tip of the Interbay Peninsula in Hillsborough County, Florida. The base is surrounded by Tampa Bay on the south and west by Hillsborough Bay on the east, and by the city of Tampa on the north. The base covers about 5,630 acres of land. MacDill AFB provides operations and maintenance support for approximately 480 separate facilities, excluding Military Family Housing (MFH). This includes approximately 67 administration facilities 16 dormitories (10 for Unaccompanied Enlisted Personnel, 2 for Visiting Airmen Quarters, and 4 for Visiting Officer Quarters) and 10 Temporary Lodging Facilities (TLF). The remaining facilities are considered commercial or industrial use facilities and range from small shop spaces to large maintenance hangars. The population of MacDill AFB is approximately 5,322 active duty military and dependents and 1,077 civilian personnel.
Including Military Housing, Peak demand is approximately 9,300kcf per month and the annual consumption is approximately 75,000 kcf.
Service is provided to the base from Tampa Electric Company Peoples Gas at a pressure of 10 pounds per square inch gauge (psig). All equipment downstream of the manifold is presently owned, operated and maintained by MacDill AFB personnel. The average depth of burial of the system is approximately three feet.
The gas is distributed on base through approximately 78,350 LF of underground pipelines. In some areas the steel or iron line has polyethylene pipe inserted inside the steel pipe. In areas where it was necessary to replace lines, polyethylene pipe has been installed in place of steel. There is no marker tape or tracer wire installed in the system. The commodity supplier retains odorization responsibility.
TECO Peoples Gas meters natural gas to the base at the manifold station. There are thirty-three additional meters on base that are read, maintained and owned by the Air Force.
Excluded from privatization are: Interior valves or regulators and Military Family Housing, except Temporary Living Facilities.
MacDill Water
The water system being privatized is described as follows: MacDill Air Force Base is located approximately eight miles south of downtown Tampa on the tip of the Interbay Peninsula in Hillsborough County, Florida. The base is surrounded by Tampa Bay on the south and west by Hillsborough Bay on the east, and by the city of Tampa on the north. The base covers about 5,630 acres of land. MacDill AFB provides operations and maintenance support for approximately 480 separate facilities, excluding Military Family Housing (MFH). This includes approximately 67 administration facilities 16 dormitories (10 for Unaccompanied Enlisted Personnel, 2 for Visiting Airmen Quarters, and 4 for Visiting Officer Quarters) and 10 Temporary Lodging Facilities (TLF). The remaining facilities are considered commercial or industrial use facilities and range from small shop spaces to large maintenance hangars. The population of MacDill AFB is approximately 5,322 active duty military and dependents and 1,077 civilian personnel.
Including Military Housing, Peak demand is approximately 42,000 kgal per month, peak-month daily usage has been about 1.3 to 1.4 MGD. The annual consumption is approximately 380,000 kgal.
Excluding MFH, the water distribution system at MacDill AFB consists of approximately 405,000 lineal feet of distribution and service connection pipe, 290 hydrants, 466 isolation valves, and 48 check valves. Based on the number of buildings/other facilities it is estimated that there are approximately 500 service lines. Pipe materials of the primary distribution system consist of about 86 cast iron, 12 plastic - both PVC and polyethylene, and 2 asbestos-cement. The average depth of burial for system piping is three feet. Marker tape has been included on all piping installed after 2000 (approximately 22,000 LF). There is no operating water supply treatment facility at MacDill.
Items specifically excluded from the utilities privatization effort are: Fire Protection Systems, Interior Backflow Prevention Devices, Lawn Irrigation Systems, Swimming Pools, Military Family Housing, except Temporary Living Facilities.
MacDill Wastewater
The wastewater system being privatized is described as follows: MacDill Air Force Base is located approximately eight miles south of downtown Tampa on the tip of the Interbay Peninsula in Hillsborough County, Florida. The base is surrounded by Tampa Bay on the south and west by Hillsborough Bay on the east, and by the city of Tampa on the north. The base covers about 5,630 acres of land. MacDill AFB provides operations and maintenance support for approximately 480 separate facilities, excluding Military Family Housing (MFH). This includes approximately 67 administration facilities 16 dormitories (10 for Unaccompanied Enlisted Personnel, 2 for Visiting Airmen Quarters, and 4 for Visiting Officer Quarters) and 10 Temporary Lodging Facilities (TLF). The remaining facilities are considered commercial or industrial use facilities and range from small shop spaces to large maintenance hangars. The population of MacDill AFB is approximately 5,322 active duty military and dependents and 1,077 civilian personnel.
MacDill Air Force Base owns, operates, and maintains the sewage collection and treatment system that serves the base. The average daily flow for the MacDill Air Force Base wastewater treatment plant is in the range of 0.50 to 0.60 mgd with maximum daily flows of up to 2.0 mgd during wet weather. The high month discharge is approximately 37.6 mg and the low month is approximately 17.2 mg. The treatment plant permitted capacity is 1.2 mgd.
Domestic sewage is collected throughout MacDill AFB through underground pipelines, ranging in size from 4 inches, for house or building connections, to 24 inches for the main sewer connections. The depth of pipe burial ranges from three to nineteen feet with an average depth of ten feet. Most of the system is 40 years old or more. Original pipe materials of construction included vitrified clay. Later expansions used cast iron and asbestos cement. No marker tape or tracer wire has been used in the system. Overall, there is an estimated 372,000 linear feet of sewer pipe and force mains and 390 manholes. There are approximately 61 pump stations on the base. A few of the pump stations serve septic drainfields, while the majority connects to the sewage collection system. The ages of the pump stations and force mains range from 20 years to less than 1 year. All of the pump stations are the submersible type.
Items specifically excluded from the wastewater system privatization are: Grease Traps, Oil/Water Separators, Septic Systems, Military Family Housing, except Temporary Living Facilities.

Description
The Defense Energy Support Center (DESC), in conjunction with the United States Air Force, plans to offer the privatization of the natural gas, water, and wastewater distribution systems at MacDill Air Force Base, Florida. Privatization is defined as the transfer of ownership and responsibility for the operations, maintenance, repair, future upgrades, and future utility system replacements. As a result of this solicitation, the firm will be selected to assume ownership of the above-mentioned utility system(s). The successful firm will be required to provide expansions to the system(s) to meet future needs of the government. The resulting contract, if awarded, will require the Contractor to furnish all necessary labor, management, supervision, permits, equipment, supplies, materials, transportation, and any other incidental items or services required for the complete ownership of and provision of utility services via the utility system(s), including operation, maintenance, repair, upgrade, and improvement of the systems.. The Contractor(s) shall manage the maintenance, repairs, replacement, etc., of the system(s) to ensure continuous, adequate, and dependable service for each Government or tenant connection within the service area. The Contractor(s) shall be responsible for funding all capital investments required to acquire, maintain and operate the utility system(s) in a safe, reliable condition and to meet the requirements listed in the contract. Real property interests will be conveyed in the form of a Right-of-Access. The utility system(s) will be conveyed via a Bill of Sale upon award of the contract. The Contractor(s) proposals and plans may become a part of the contract upon the decision to award. Past performance information from potential Offerors shall be submitted as directed in the RFP. No Offeror will be denied the opportunity to submit a proposal in response to the RFP.

The base covers about 5,630 acres of land and has an approximate population of 5,322 active duty and 1,077 civilian personnel. Based upon present real estate records, MacDill AFB provides operations and maintenance support for approximately 480 separate facilities, excluding Military Family Housing. This includes approximately 67 administration facilities, 16 dormitories, and 10 Temporary Lodging Facilities. The remaining facilities are considered commercial or industrial use facilities and range from small shop spaces to large maintenance hangars.
Natural Gas: TECO Peoples Gas supplies natural gas to the base. A single eight-inch pipeline provides gas service for the entire base. Service is provided to the base at a pressure of 10 pounds per square inch guage. All equipment downstream of the manifold is owned, operated and maintained by MacDill AFB personnel. The on-base distribution system consists of approximately 78,350 linear feet of underground piping 65 PE and 35 steel, with 99 of it being installed in the 1970's. There are approximately 445 valves ranging in size from 0.75 to 8 inches 33 meters ranging in size from 1.25 to 8 inches and 239, 1.25 inch regulators. The majority of the pipe and valves were installed in the 1970's and the meters and regulators were installed in 1941.
Potable Water: MacDill AFB purchases all its potable water from the City of Tampa. The City's Hillsborough River Water Treatment Plant, a surface water plant that utilizes the Hillsborough River as its primary source, provides about 75 to 90 of the water supply for the Tampa area. The remaining 10 to 25 is supplied by the City's Morris Bridge Water Treatment Plant, which utilizes water from a well field of 20 wells in the Floridan Aquifer, and is located about 10 miles northeast of the Hillsborough River Plant. MacDill has three City-owned, metered connections to the City system. In the past two years, peak-month usage averaged about 1.3 to 1.4 MGD. Delivered water pressure by the City is about 50 to 60 psig. MacDill constructed a booster chloramine disinfection system in 2002. Potable water is stored in two ground level and 2 elevated storage tanks. Three of the tanks are 1941 vintage and one is 1956 vintage. There are approximately 405,659 linear feet of pipe ranging in size from 0.75 to 20 inches. Approximately 88 of the pipe was installed prior to 1960. There are approximately 501 valves ranging from 2 to 20 inches 85 installed prior to 1960. There are approximately 290 hydrants, 39 meters, and 63 backflow preventers.
Wastewater: MacDill AFB owns, operates, and maintains the sewage collection and treatment system that serves the Base. The average daily flow for the only wastewater treatment plant (installed in 1953) is 0.50 to 0.60 mgd with maximum daily flows of up to 2.0 mgd during wet weather. The treatment plant permitted capacity is 1.2 mgd. There are approximately 981,558 linear feet of pipe ranging from 0.5 to 24 inches. Approximately 18 of the pipe was installed prior to 1960. There are 61 lift stations, 32 installed prior to 1980. There are 5 emergency generators, 274 brick manholes (1940 vintage), and 9 concrete manholes (2001 vintage).
