INVITATION TO BIDDER
TO SUBMIT
QUALIFICATION INFORMATION
FOR SHORT LISTING FOR THE DEVELOPMENT OF
A 280 MW- 400 MW COMBINED CYCLE POWER PROJECT,
AT ALQATRANA, JORDAN
ON A BUILD, OWN, AND OPERATE (BOO) BASIS

On behalf of the Hashemite Kingdom of Jordan (HKJ), the Ministry of Energy and Mineral Resources (MEMR) hereby invites interested qualified firms and consortia to submit qualification information for the right to tender for the development of a Combined Cycle Power Project, including all support facilities (the Project), on a Build, Own and Operate (BOO) basis and to provide electricity to the National Electric Power Company (NEPCO) for an initial period of 25 years. The Government of the HKJ plans to request the World Bank's agreement for the RFP documents to indicate that in the project RFP document that the Partial Risk Guarantee from the World Bank can be used as an option to support the project.

Project definition is continuing and will be complete by the time of the issuance of the Request for Proposal (RFP). The Project will be required to supply between 280 MW and 400 MW at Alqatrana area. The Project will use Natural Gas as main fuel and light Distillate Fuel as backup. Natural Gas will be supplied from Egypt via the Jordanian Gas Transmission Pipeline. The evacuation of electric power will be through the 400 kV Project switchyard that will be connected to a 400 kV substation to be constructed by NEPCO adjacent to the Project.
For a firm (or consortium) to be considered for the short list of qualified bidders, qualifications information must contain information in sufficient detail to allow MEMR to assess the firm’s or consortiums ability to develop the Project within the requirements set by MEMR. The following will be used in determination of qualifications:
a. The bidder can be a single entity (company, corporation, or unincorporated association) or can be a team of several members (consortium, joint venture). After a bidder has been short listed, the membership structure used to qualify may not be changed without prior written approval of MEMR.

b. For determining the experience and technical capability of a team of several members, the experience and technical capability of each member shall be combined for evaluation. However, experience and resources of subcontractors to the bidder shall not be taken into account in determining the bidder’s compliance with the qualification criteria.

c. Each member is required to provide its financial capability separately, for evaluation.

d. A bidder’s financial capacity will be judged on the basis of his net worth, working capital, profitability and bonding capacity. The bidder needs to be able to illustrate that they will be in a position to access and provide sufficient working capital for the execution and construction of the Project, including security deposits for performance of the operations and maintenance period.

e. Bidders’ qualifications will be evaluated on the basis of a PASS-FAIL approach.

f. A short listed bidder is one, who in MEMR’s opinion, meets or exceeds the qualification criteria listed herein below. The following table shall be filed in by the bidders supporting by evidences of having the required capabilities

Qualification Criteria Sponsor's Response

Clear Description of the Sponsor. The qualified Sponsor shall identify the lead developer or firm, its relation to parent company if any and any other firms comprise the consortium or joint venture
Project Development Experience.
• The qualified Sponsor shall clearly demonstrate its ability to obtain sufficient Bank Guarantees and its previous financial capability to develop a grass root project in the range of (280-400) MW and larger.
• The qualified Sponsor had the role as a lead developer in at least two grass root projects one of them in the range of (280-400) MW and larger
• The qualified Sponsor shall clearly demonstrate that at least one of the above grass root projects in the range of (280-400) MW and larger is a Combined Cycle power facility that has been developed and achieved financial closing in a developing country and has been in commercial operation for at least 18 months prior to the date of issuance of this prequalification documents.
• The qualified Sponsor shall clearly demonstrate that at least one other of the above grass root projects is either a Combined Cycle power facility with capacity of at least [100] MW or a power plant utilizing other technologies in the range of 280 - 400 MW that has been developed and achieved financial closing and is in commercial operation..
Ability to raise Debt and Equity

The qualified Sponsor must illustrate its lead developer’s previous successful experience in raising sufficient non- or limited recourse debt participation for grass root projects (>$200 M), and substantial equity participation (>$50 M), for electric power projects of 200 MW and larger, at least one of these projects in developing countries.
Technical Capabilities and Qualifications.
• The qualified Sponsor must provide evidence of having within its organization or team by association, joint venture or contract the technical capability to manage the design, engineering, construction and operation of international projects of 200 MW or larger.


The sponsor can be qualified only if the above mentioned requirements are met by the Sponsor and the projects were executed based on the Grass Roots IPP concept, that included the followings steps undertaken by the sponsor: ( keeping in mind that buying or acquiring of existing facilities will not be considered)
• Prepare proposals for IPP projects
• Be selected as a sponsor based on ranking during competitive bidding or direct award.
• Negotiate the project agreements and finalize them successfully
• Finance the projects and achieve financial close on non or limited recourse basis
• Successfully operate the project for at least 24 month

• The qualified Sponsor has other combined cycle electric power projects with capacity in the range of 100MW – 280 MW (please list the projects)
• The bidder has other electric power projects (please list the projects)
Ability to implement the Project within reasonable time frame.

• The qualified Sponsor must provide information regarding the time that was required for Sponsor’s past projects of 200 MW and larger from the issuance of the RFP documents until the project award.
• The qualified Sponsor must provide information regarding the time that was required for Sponsor’s past projects of 200 MW and larger from the project award until completing negotiations of the project agreements.
• The qualified Sponsor must provide information regarding the time that was required for Sponsor’s past projects of 200 MW and larger from completion of negotiations of the project agreements until reaching financial closing.
• The qualified Sponsor must provide information regarding the time that was required for Sponsor’s past grass root Combined Cycle projects of 200 MW and larger from financial closing date until simple cycle (Phase 1) and Combined Cycle (Phase 2) commercial operation dates or the time from financial close to commercial operation on other grass root power projects
Technical Capabilities and Qualifications.
``
• The qualified Sponsor must list EPC contractors used for implementing their past Combined Cycle or other electric power projects of 200 MW and larger.
• The qualified Sponsor must list O&M contractors used for operation and maintenance of their past and/or current Combined Cycle projects of 200 MW and larger.
• The qualified Sponsor must provide information from the power purchasers for their past and current Combined Cycle projects of 200 MW and larger on whether the guaranteed capacity and heat rate of the facility(ies) were met during facility acceptance tests and whether plant availability guarantees are being met during commercial operation period.


The above mentioned projects must include the following steps and requirements.
• Prepare proposals for IPP projects
• Be selected as a sponsor based on ranking during competitive bidding or direct award.
• Negotiate the project agreements and finalize them successfully
• Finance the projects and achieve financial close on non or limited recourse basis

Each bidder shall provide a statement from each consortium member that the lead member is authorized to act on their behalf. The composition of the consortium cannot be changed without MEMR’s prior written approval. The name, address, telephone, and facsimile of the bidder’s project manager to whom all correspondence will be directed in relation to the Project shall be provided.

One (1) original and three (3) copies of the qualifications submissions, signed and certified by an officer of the bidder (or lead consortium member), shall be submitted in sealed envelopes, delivered to the address below by 3:00 PM (Amman time) on August 16, 2007 and be clearly marked “280 – 400 MW IPP Project Short Listing”.

MEMR will notify in writing the project manager of each firm or consortium submitting qualifications information of the names of firms or consortia on the short list of bidders, and will make available the RFP for purchase from MEMR.

MEMR has retained the services of K&M Engineering and Consulting Corporation to prepare the RFP and the Project Agreements to be included in the RFP, which will include an Implementation, Power Purchase, Water Supply and Land Lease Agreements.

Only the short listed firms will be invited by MEMR to participate in the forthcoming RFP. The bidder selected from the short list of bidders will be required to arrange the necessary financing and to finalize the engineering, procurement, construction, operation and maintenance and other contracts required for Project development and implementation.
