Contracting authorities: The Ministère de la Planification et de la Programmation du Développement of the Gabonese Republic acting as Regional Authorising Officer, Libreville, will be the contracting authority for technical assistance provided to the regional coordination unit and to the Central African Republic, Congo, Equatorial Guinea, Democratic Republic of Congo and São Tomé and Principe sections financed by the EDF regional funds. The National Authorising Officer for the Gabonese Republic will be the contracting authority for technical assistance provided in that section and charged to the national EDF funds for Gabon. The National Authorising Officer for the Republic of Cameroon will be the contracting authority for technical assistance provided in that section and charged to the national EDF funds for Cameroon. Contract specifications: 6. Object of the contract: Contract for long-term and short-term technical assistance in implementing the ECOFAC 4 programme. 7. Contract description: The technical assistance personnel will be responsible for implementing the programme under the authority of the Regional Authorising Officer who will delegate the management of national sections to the National Authorising Officers in the countries covered by the programme. The programme aims to support the planned development and management of protected areas in 7 Central African countries. It comprises: - a regional coordination unit based in Libreville; - 8 local sections (2 in the Central African Republic, 1 in each of the other countries) providing beneficiary countries with institutional support. The programme will be run under the annual 'programme estimate' system, the EDF controlled part of which will be managed directly by the technical assistance personnel under the powers delegated to them by the Regional Authorising Officer or the National Authorising Officers by subdelegation. The programme's regional coordinator will be in charge of all of the technical assistants in the national sections. The sections will work in close cooperation with the regional coordination unit, the national supervisory authorities and the EC Delegations in the relevant countries. The sections will be involved at every stage of the programme's implementation, and particularly with the formulation and approval of the annual programme estimates. Short-term technical assistance services (support assignments) will also be required. The technical assistance requirements of each programme section will be specified in the terms of reference appended to the invitation to tender dossier. 8. Number and titles of lots: The contract will be divided into 3 lots: - lot 1: regional coordination unit and Central African Republic, Congo, Equatorial Guinea, Democratic Republic of Congo and São Tomé sections; - lot 2: Gabon section; - lot 3: Cameroon section. Tenderers must submit a tender encompassing all 3 lots (each lot will necessitate a separate service contract). All lots will be evaluated jointly and awarded to the same tenderer. 9. Maximum available budget: Maximum budget available: EUR 8 795 000. 10. Any additional services: Not applicable. Conditions for participation: 11. Eligibility: Participation in the contract is open, on equal terms, to: - natural persons, companies, firms and public or semi-public agencies from the ACP countries or from the European Union Member States; - cooperative companies and other entities governed by public or private law from the EU Member States or the ACP countries; - joint ventures, or groupings of companies or firms from the ACP countries or the EU Member States. The nationality rule also applies to experts put forward by service provider companies. 12. Application: Any eligible natural person or legal entity (as defined in point 11) or grouping of said parties (consortium) may apply. A consortium can be a permanent grouping with legal status or an informal grouping created with a specific invitation to tender in mind. All members of the consortium (i.e. lead company and all other partners) will be jointly and severally liable vis-à-vis the contracting authority. Should an ineligible natural person or legal entity (as defined in point 11) take part, this will result in the application concerned being automatically disqualified (in particular, the application from the whole consortium where said party belongs to a consortium). 13. Number of applications: Natural persons or legal entities can only submit one application (this applies equally to all the legal entities considered in law to be part of the same group), irrespective of the form their participation may take (sole legal entity, or lead company or partner in a consortium submitting an application). Should a natural person or legal entity submit more than one application (this applies equally to all the legal entities considered in law to be part of the same group), then all the applications involving said party (and all the legal entities considered in law to be part of the same group) will be disqualified. 14. Prohibition on associations among shortlisted candidates: Tenders which include companies not mentioned on the application forms used to compile the shortlist will be disqualified from this restricted procedure. Candidates invited to tender cannot form associations or subcontractual relationships amongst themselves for the contract in question. 15. Grounds for exclusion: In their application form candidates must solemnly certify that they are not in any of the situations referred to in section 2.3.3 of the Practical Guide to contract procedures financed by the 9th EDF. 16. Subcontracting: Subcontracting is permitted for no more than 20 % of the contract. The subcontractor need not necessarily come under one of the categories for natural persons and legal entities given in 11, but must fulfil the ACP or EU nationality criteria. 17. Number of candidates invited to tender: There must be at least four, but no more than eight, candidates on the shortlist. Provisional schedule for activities: 18. Initial contract length, and possible extension: 48 months, with possible extension depending on the state of progress of the programme. Selection and award criteria: 21. Selection criteria: The following selection criteria will be applied to candidates. Where applications are submitted by a consortium, then the criteria will apply to the consortium as a whole. 1) Candidates' economic and financial standing (section 3 of the application form): (a) candidates' average annual turnover must be at least EUR 15 000 000; (b) cash and cash equivalents at the beginning and end of the financial year must be in surplus, overall. 2) Candidates' professional capacity (sections 4 and 5 of the application form): (a) at least 10 permanent employees who can monitor programme activities in the following areas: - management and planned development of natural resources, forests, fauna and protected sites, - institution-building/capacity building, - participative/community management of a common asset, - rural development, - monitoring of research/biodiversity and the environment; fitness for this to be proven by a professional certificate relevant to this contract. (b) candidates must have experience from work on at least 10 similar projects in the African, Caribbean and Pacific countries (ACP). 3) Candidates' technical capacities (sections 5 and 6 of the application form): (a) candidates have, in the past 3 years, implemented at least 3 projects in at least 3 of the 5 areas referred to in 21.2) a), involving fields connected with this contract; (b) candidates are currently working on at least 1 project in fields related to this contract. If more than 8 applications prove to be eligible, i.e. meet all the selection criteria, then the strengths and weaknesses of these candidates' applications will be re-examined to determine which 8 applications are the best for the invitation to tender. Only the following factors will be considered in the re-examination: i) proven experience and capacities in as many of the fields listed in 21.2.a) as possible; ii) amount of experience from previous or current projects involving similar professional and technical capacities to those required in this contract, in Central Africa if possible. 22. Award criteria: The criteria are specified in the invitation to tender dossier appended to the letter of invitation to tender which will be sent to shortlisted candidates. Spécifications du marché 6. Objet du marché: Marché d'assistance technique de mise en oeuvre du programme ECOFAC 4, AT long terme et court terme. 7. Description du marché: L'assistance technique assurera la mise en oeuvre du programme sous l'autorité de l'Ordonnateur régional qui délèguera ses fonctions aux Ordonnateurs nationaux des pays concernés par le programme pour la gestion de leur(s) composante(s) nationale(s). Le programme est destiné à appuyer l'aménagement et la gestion des aires protégées dans 7 pays d'Afrique Centrale comprenant: - une coordination régionale basée à Libreville; - 8 composantes de terrain (2 composantes en RCA, 1 composante dans les autres pays) et d'appui institutionnel au niveau des pays bénéficiaires. Le programme sera exécuté en devis programmes annuels dont la partie «régie FED» sera gérée directement par l'assistance technique en fonction des pouvoirs qui leur sera délégués par l'Ordonnateur régional ou les Ordonnateurs nationaux subdélégués. L'ensemble des assistants techniques des composantes nationales sera placé sous la responsabilité du Coordonnateur régional du programme. Les composantes travailleront en étroite liaison avec la Coordination régionale, les autorités nationales de tutelle et avec les Délégations de la CE dans les pays concernés à tous les stades d'exécution du programme, notamment l'élaboration et l'approbation des devis programmes annuels. Ce marché inclura également de l'AT court terme (missions d'appui). Les termes de référence qui seront annexés au dossier d'appel d'offres préciseront les besoins en AT pour chaque composante du programme. 8. Numéro et intitulé des lots: Le marché sera divisé en 3 lots: - lot 1: composantes Coordination régionale et Centrafrique, Congo, Guinée Équatoriale, RD Congo, São Tomé e Príncipe; - lot 2: composante Gabon; - lot 3: composante Cameroun. Éligibilité: La participation au marché est ouverte à égalité de conditions: - aux personnes physiques, sociétés ou entreprises, organismes publics ou à participation publique des États ACP et des États membres de l'UE, - aux sociétés coopératives et autres personnes de droit public ou de droit privé des États membres de l'UE et des États ACP, et - à toute entreprise commune ou groupement d'entreprises ou de sociétés des États ACP et des États membres de l'UE. Cette règle de la nationalité s'applique également aux experts proposés par les sociétés prestataires de services. 12. Candidature: Toute personne physique ou morale éligible (au sens du point 11 ci-dessus) ou groupement de ces personnes (consortium) peut soumettre sa candidature. Un consortium peut être un groupement permanent doté d'un statut juridique ou un groupement informel créé aux fins d'un appel d'offres spécifique. Tous les membres d'un consortium (c'est-à-dire, le chef de file et tous les autres partenaires) seront conjointement et solidairement responsables devant l'autorité contractante. La participation d'une personne physique ou morale inéligible (au sens du point 11) entraînera l'élimination automatique de la candidature concernée (notamment, de la candidature de l'ensemble du consortium, dans le cas où cette personne ferait partie d'un consortium). 13. Nombre de candidatures: Une personne physique ou morale ne peut soumettre plus d'une candidature (cela vaut également pour toutes les personnes morales faisant partie du même groupe du point de vue du droit), quelle que soit la forme de sa participation (comme entité juridique individuelle ou comme chef de file ou partenaire d'un consortium présentant une candidature). Dans le cas où une personne physique ou morale soumettrait plus d'une candidature (cela vaut également pour toutes les personnes morales faisant partie d'un même groupe du point de vue du droit), toutes les candidatures auxquelles cette personne participe (et toutes les personnes morales faisant partie du même groupe du point de vue du droit) seront éliminées. 14. Interdiction des alliances entre des candidats retenus sur la liste restreinte: Toute offre reçue de la part de soumissionnaires comprenant des sociétés autres que celles mentionnées sur les formulaires de candidature ayant servi à l'établissement de la liste restreinte sera éliminée de la présente procédure restreinte. Critères de sélection: Les critères de sélection suivants seront appliqués aux candidats. Dans le cas où les candidatures seraient soumises par un consortium, ces critères de sélection s'appliqueront au consortium dans son ensemble: 1) capacité économique et financière du candidat (rubrique 3 du formulaire de candidature): (a) le chiffre d'affaires annuel moyen du candidat doit être d'au moins 15 millions EUR; (b) la trésorerie et les équivalents de trésorerie de début et de fin d'exercice sont, globalement, excédentaires. 2) Capacité professionnelle du candidat (rubriques 4 et 5 du formulaire de candidature): (a) disponibilité en personnel permanent d'au moins dix (10) personnes aptes à exercer le suivi des activités du programme dans les domaines suivants: - gestion et aménagement des ressources naturelles, forêts, faune et aires protégées, - appui institutionnel / renforcement des capacités, - gestion participative / communautaire d'un bien commun, - développement rural, - monitoring de la biodiversité / recherche et suivi écologique; cette aptitude doit être démontrée par un certificat professionnel en rapport avec le présent marché. (b) au moins dix expériences de travail du candidat dans les Pays de la zone Afrique - Caraïbes - Pacifique (ACP). 3) Capacité technique du candidat (rubriques 5 et 6 du formulaire de candidature): (a) mise en oeuvre d'au moins trois projets au cours des trois dernières années dans au moins trois des cinq domaines cités au point 21.2) a) en rapport avec le présent marché; (b) au moins un projet en cours dans l'un des domaines en rapport avec le présent marché. Si le nombre de candidatures éligibles satisfaisant à l'ensemble des critères de sélection est supérieur à huit, les atouts et faiblesses des applications de ces candidats doivent être réexaminées pour identifier les huit meilleures candidatures pour l'appel d'offres.
