Object of the contract: Surveys and overseeing of water supply and sanitation work in Mindelo. 7. Contract description: The contract encompasses services required to define the work to extend the drinking-water supply and sanitation network in Mindelo and assist in its execution. Mindelo is located on São Vicente Island in the Republic of Cape Verde. The services will involve the following: 1. construction surveys and drawing up the invitation to tender dossier for the water supply and sanitation work in Mindelo (phase III); 2. assisting government departments as required with the award of related works contracts; 3. overseeing and inspecting related works. Each activity constitutes one section, point 1 of which is a firm phase while the others are a conditional phase. 8. Number and titles of lots: 1 lot. 9. Maximum available budget: Approximately 670 000 EUR comprising: firm phase: 170 000 EUR; conditional phase: 400 000 EUR. 10. Any additional services: No. Conditions for participation: 11. Eligibility: Participation in the contract is open, on equal terms, (i) to natural persons, companies or firms, to public or semi-public agencies from the ACP countries and the EU Member States, (ii) to cooperative societies and other legal persons governed by public or private law in the EU Member States and/or the ACP countries, and (iii) to joint ventures or groupings of companies or firms from the ACP countries and/or the EU Member States. The nationality rule applies equally to experts proposed for the services figuring in this contract by the aforementioned persons or companies. 12. Applications: Any eligible natural person or legal entity (as defined in point 11) or grouping of said parties (consortium) may respond to this contract notice. A consortium can be a permanent grouping with legal status or an informal grouping created with a specific invitation to tender in mind. Consortia must designate a lead company. All members of the consortium (i.e. lead company and all other partners) will be jointly and severally liable vis-à-vis the contracting authority. The nationality rule applies equally to all the individual members of a consortium. Should an ineligible natural person or legal entity (as defined in point 11) take part, this will result in the application concerned being automatically disqualified (in particular, the application from the whole consortium, if said party belongs to a consortium). 13. Number of applications: Natural persons or legal entities as designated in 11 can only submit one application. This applies equally to all the members of a consortium and to experts proposed for the services figuring in the contract, irrespective of the form their participation may take (as one single legal entity or as lead company or partner in a consortium submitting an application). Should a natural person or legal entity submit more than one application, all the applications involving said party will be disqualified, as will all legal entities legally considered to belong to this same group. 14. Prohibition on associations among shortlisted candidates: Tenders which include natural persons or legal entities not mentioned on the application forms used to compile the shortlist will be disqualified from this restricted procedure. Candidates invited to tender cannot form an association amongst themselves nor can they establish subcontractual relationships for the contract in question. 15. Grounds for exclusion: Candidates must certify in their application form that they are not in any of the exclusion situations listed hereafter. Natural persons and legal entities cannot take part in the competition, or be awarded a contract, if they: are bankrupt or being wound up, if their affairs are being administered by the court or they have entered into an arrangement with creditors, if they are no longer trading, or are in any analogous situation arising from similar proceedings under national laws or regulations; are the subject of proceedings for a declaration of bankruptcy, for winding up, for administration by the courts, for an arrangement with creditors or for any similar procedure under national laws or regulations; have been convicted of an offence concerning their professional conduct by a judgment which has the force of res judicata; are guilty of grave professional misconduct proven by any means which the contracting authorities can justify; have not fulfilled their obligations relating to the payment of social security contributions in accordance with the legal provisions of the country where they reside; have not fulfilled their obligations relating to the payment of taxes in accordance with the legal provisions of the country where they reside; are guilty of serious misrepresentation in supplying the information required by the contracting authorities in order to participate in an invitation to tender or a contract; have been declared to be in serious breach of contract for failure to comply with their obligations in connection with another contract entered into with the same contracting authority or another contract financed by EC funds; find their interests conflict with regard to this invitation to tender. 16. Subcontracting: Subcontracting may be used to call on the services of the experts when so required. This is provided for in the contract. Subcontracting will not account for an overly large proportion of the tender. The exact proportion will be stated in the invitation to tender dossier. 17. Number of candidates invited to tender: There must be at least 4, but no more than 8, candidates on the shortlist. Provisional schedule for activities: 18. Scheduled date for dispatch of invitations to tender: August 2004. 19. Scheduled date for commencing activities: January 2005. 20. Initial contract length, and possible extension: Three years. Selection and award criteria: 21. Selection criteria: The following selection criteria will be applied to candidates. Where applications are submitted by a consortium, then the criteria will apply to the consortium as a whole. The shortlist will be drawn up using the information provided by candidates in the standard application form. The information provided in a candidate's form will be checked if said candidate is shortlisted. The misrepresentation of facts in the application form will be automatically deemed a serious error and a reason for disqualification under 15. 21.1. Candidates' economic and finanical standing - section 3 of the application form: Candidates (this applies to all the members of a consortium) must be able to prove that they have been in existence for at least 5 years. The following documents must be submitted in support of the figures given in the application form (consortia must provide these documents for all their members): - (a) balance sheets for the past three financial years for which accounts have been closed; - (b) statement as to overall turnover, and turnover for the services referred to in the contract, over the past three financial years. Candidates' annual turnover (consolidated turnover for consortia) for the past two financial years, and for the current financial year, must be more than twice the annual budget allocated to the contract (i.e. 2 x 250 000 EUR). 21.2. Candidates' professional capacities - sections 4 and 5 of the application form: At least 30% of all the candidates' permanent staff (or staff employed by at least one of the candidate members in a consortium) are working at present in fields connected with this contract. Specialist fields (i.e. the type of services provided) relevant to this contract are: - technical assistance and consultancy services; - supervision assistance services; - technology training and transfer; in the water supply and sanitation field. A presentation of the company's experience in general will act as the basis for checking information provided in the application form. 21.3. Candidates' technical capacity - section 6 of the application form: Candidates (or at least one candidate member in a consortium) must have worked on at least two major projects (annual contract value in excess of 300 000 EUR) in fields connected with this contract during the past five years. A presentation of similar projects carried out by the company will act as the basis for checking information provided in the application form. 22. Award criteria: The criteria are specified in the invitation to tender dossier appended to the letter of invitation to tender which will be sent to shortlisted candidates. Objet du marché: É tudes et surveillance des travaux de distribution d'eau et assainissement dans la ville de Mindelo. 7. Description du marché: Le marché comprend les services nécessaires pour la définition et l'accompagnement de la mise en oeuvre des travaux d'extension du réseau de distribution d'eau potable et assainissement dans la ville de Mindelo sur l'île de Sao Vicente en République du Cap Vert. Éligibilité: La participation au marché est ouverte, à égalité de conditions, (i) aux personnes physiques, sociétés ou entreprises, organismes publics ou à participation publique des États ACP et des États Membres de l'UE, (ii) aux sociétés coopératives et autres personnes morales de droit public ou de droit privé des États Membres de l'UE et/ou des États ACP, (iii) à toute entreprise commune ou groupement d'entreprises ou de sociétés des États ACP et/ou des États Membres de l'UE. Cette règle de nationalité s'applique également aux experts proposés par les personnes ou sociétés visées ci-dessus pour la réalisation des prestations objet du marché. 12. Candidatures: Toute personne physique ou morale éligible (au sens du point 11 ci-dessus) ou groupement de personnes physiques ou morales éligibles (consortium) peut répondre à cette avis de marché. Un consortium peut être un groupement permanent doté d'un statut juridique ou un groupement informel créé aux fins d'un appel d'offres spécifique. Dans tous les cas de consortium, il sera signalé un chef de file. Tous les membres d'un consortium (c'est-à-dire, le chef de file et tous les autres partenaires) sont conjointement et solidairement responsables devant l'Autorité contractante. La règle de nationalité s'applique également séparément à tous les membres d'un consortium. La participation d'une personne physique ou morale inéligible (au sens du point 11) entraînera l'élimination automatique de la candidature concernée (notamment de la candidature de l'ensemble du consortium, dans le cas où cette personne ferait partie d'un consortium). 13. Nombre de candidatures: Une personne physique ou morale visée à l'article 11 ci-dessus ne peut soumettre plus d'une candidature. Cette règle s'applique également aux membres d'un consortium et aux experts proposés pour la réalisation des prestations objet du marché, quelle que soit la forme de sa participation (comme entité juridique individuelle ou comme chef de file ou partenaire d'un consortium présentant une candidature). Dans le cas où une personne physique/morale soumettrait plus d'une candidature, toutes les candidatures auxquelles cette personne participe et toutes les personnes morales faisant partie du même groupe du point de vue du droit, serait éliminées. 14. Interdiction des alliances entre des candidats retenus sur la liste restreinte: Toute offre reçue de la part des soumissionnaires comprenant des personnes physiques ou morales autres que celles mentionnées sur les formulaires de candidature ayant servi à l'établissement de la liste restreinte sera éliminée de la présente procédure restreinte. Possibilités de sous-traitance: La mobilisation des expertises ponctuelles, prévue par le marché, peut se faire moyennant une sous-traitance. La sous-traitance ne représente pas une proportion excessive de l'offre. Cette proportion sera précisée dans le DAO. 17.
